Job Context:
∎ This position requires a solid knowledge and hands-on secretarial experience of Board and Company Affairs. The incumbent will act as a change agent to accelerate organizational development and overall transformation. It requires providing advice to the Board of Directors on corporate governance matters and compliance.
∎ The Company Secretary ensures that all registers and records required to be held at the registered office are present up to date and accurate. The company seeks a talented and aspiring candidate who would join our team and meaningfully contribute to the efforts to reach the organization`s goal.
Job Responsibilities:
∎ Arrange Board meetings with the consent of the Board of Directors and also arrange General meetings of the shareholders as and where necessary;
∎ Ensure timely circulation of notice and Board working papers to the Directors for Board meetings;
∎ Ensure recording of minutes of the Board meeting and that of the General meeting of the shareholders;
∎ Provide guidance and activities to the Board Members in discharging their duties and responsibilities under the rules and regulations to which they are subject;
∎ Sign contracts, agreements, and lease documents on behalf of the Company;
∎ Circulate the relevant part of the decisions of the Board to the respective officials of the Company for implementation;
∎ Arrange to keep records and documents related to Board meetings and General meetings of the shareholders;
∎ Direct and provide functional guidance to the sub-ordinate officials in performing their responsibilities;
∎ Evaluate business performance targets fixed by the Board from time to time;
∎ Ensure maintenance of good corporate governance through monitoring, advice and reporting;
∎ Arrange publication in the press media and circulation of Annual Reports in a timely manner;
∎ Arrange timely submission of statutory and regulatory reports and ensure compliance;
∎ Liaise with BSEC, DSE, CSE, CDBL, RJSC, and other regulatory bodies and remain up-to-date about the statutory changes and assist the HR Business Partner and other related departments in incorporating the changes;
∎ Provide the core knowledge of HR and administration of the company to oversee the overall function as per the set of goals, mission, and vision thereon.
∎ Carryout any other duties as directed by the Management from time to time;
Additional Requirements:
∎ Age 40 to 45 years
∎ Only males are allowed to apply
∎ At least 15 years of experience in the relevant field out of which at least 5-8 years (s) as full Company Secretary in a publicly listed company with strategic business acumen in a large group of Companies;
∎ Only Fellow Members of Chartered Secretary are requested to apply;
∎ Candidates who have in addition to practical experience in the field of HRM and administration or legal along with hands-on knowledge in the core field of Company Secretarial will get the preference
∎ Candidates having practical experience in IPO/Repeat IPO/Right Share/Bond would be given the fondness;
∎ Analytical and Strategic Management skills to plan, organize, execute, and report ideas & results;
∎ Well-conversant in Securities Law, Capital Market Law, and Company Act. Insurance Law, Commercial Law/Contract Law, Tax, VAT, and Customs Law
∎ In-depth understanding of operational issues and policy work at state, national, and international levels;
∎ Sound and up-to-date knowledge of development concepts, methodologies, and techniques for organizational change management & organizational development;
∎ Excellent management leadership skills as well as facilitation and capacity building for inter-linkages between Management and Honorable BODs;
∎ Conceptual, analytical, documentation, and presentation skills;
∎ Proficiency in the English language and a familiarity with the particular environment as if affects development strategies;
