Job Context:
∎ Perform all the required activities of the Company Secretary (i.e. arranging Board meetings, maintaining statutory registers, submitting statutory returns and ensuring compliance with all the requirements under the Companies Act);
∎ Ensure compliance of all statutory issues
∎ Advise the board and management committees on all statutory and constitutional requirements to ensure that business is conducted in a compliant and effective manner
∎ Maintain liaison with the regulator (IDRA) and all govt. bodies (i.e. RJSC, BSEC, BIA etc.)
∎ Ensure that the organization is conducting its business in accordance with applicable Corporate Code of Conduct follows highest standards of business ethics.
Job Responsibilities:
∎ Arrange meetings of the Board of Directors, Board sub-committees, and other meetings of Directors and Sponsors with the consent of the Chairman of the Board and the Chief Executive Officer (CEO).
∎ Arrange General Meetings of the shareholders as and when necessary.
∎ Ensure the timely circulation of notice and working papers to the Directors/shareholders/participants of the abovementioned meetings.
∎ Prepare minutes of the Board meetings, other meetings and General meeting of the shareholders and provide management with Extracts as needed.
∎ Inform the Board Members about the rules and regulations to which they are subjected to in discharging their duties and responsibilities under the rules and regulations.
∎ Keep records and documents related to Board meeting and General meetings of the shareholders.
∎ Lead all the activities required for IPO application and act as the focal point of GLIL for all the parties involved in the IPO application process.
∎ Ensure maintenance of good corporate governance through monitoring, advice and reporting.
∎ Arrange timely submission of statutory/regulatory reports and returns and ensure compliance. Maintain the necessary registers as required by the Companies Act.
∎ Maintain liaison with RJSC, BSEC, IDRA, BIA and other government bodies and act as the focus point of GLIL in dealing with these bodies.
∎ Remain fully conversant with all pertinent, laws, regulations, official notifications and guidelines. Also, keep up to date on the above and advise the Board and Management of any important/material changes.
∎ Carry out any other duties as directed by the Management from time to time.
Additional Requirements:
∎ Age 40 to 46 years
∎ Preferably a minimum 12 years' experience in a Company Secretary position in any reputed local or multinational companies.
∎ Experience in IPO application.
∎ Reports to Board but for day-to-day operations reports to CEO.
