    • Master of Law (LLM)
  • Master`s in Law / Finance / Accounting / Business Administration from a reputed university.

  • Qualified Chartered Secretary (ACS/FCS) from ICSB is mandatory.

Additional Requirements:
  • Minimum 8–14 years of relevant experience in a reputed bank/NBFI or listed company, of which at least 3 years must be in a Company Secretariat role.

  • Experience with Board and regulatory affairs in a listed company or financial institution will be given preference.

  • Additional Requirements:

  • In-depth knowledge of the Companies Act 1994, Banking Companies Act, BSEC rules, and other relevant regulatory frameworks.

  • Excellent drafting, communication, and presentation skills in English and Bangla.

  • Proficiency in MS Office, legal documentation, and corporate governance principles.

  • Ability to manage multiple deadlines, maintain discretion, and work with top-level executives.



Responsibilities & Context:

Job Grade: Senior Assistant Vice President to Vice President

Key Job Responsibilities:

  • Assist the Company Secretary in preparing agenda, notices, and minutes for Board Meetings, Board Committees, and Annual General Meetings (AGMs).

  • Ensure timely compliance with applicable laws, rules, and guidelines issued by Bangladesh Bank, BSEC, RJSC, and other regulators.

  • Draft resolutions, official correspondence, and maintain statutory registers and records.

  • Ensure timely filing of returns and other documents to the RJSC and BSEC.

  • Liaise with regulators, legal counsel, shareholders, and stakeholders regarding corporate governance matters.

  • Review and interpret legal and regulatory developments impacting the Bank’s operations and recommend appropriate actions.

  • Assist in managing the Bank`s shareholding matters and maintain proper records.

  • Support in preparing reports and disclosures for the Annual Report and other regulatory submissions.

  • Maintain confidentiality of sensitive information and ensure integrity in all official communications.
