Contract Drafting & Negotiation
Draft, vet, and finalize contracts, purchase agreements, service level agreements (SLAs), NDAs, lease agreements, and vendor/supplier contracts for the factory.
Lead or support commercial negotiations with vendors, contractors, and service providers to secure favourable terms, pricing, and risk allocation.
Standardize contract templates and clause libraries across departments to ensure consistency and reduce legal exposure.
Compliance & Risk Management
Review all contracts for compliance with Bangladeshi law (Contract Act 1872, Companies Act, Sale of Goods Act, and applicable labour/environmental regulations) and Akij Group's internal policies.
Identify, flag, and mitigate legal and financial risks in contract terms (liability, indemnity, penalty, termination, force majeure clauses).
Coordinate with the Legal, Finance, and Compliance teams on regulatory or buyer-audit requirements affecting contractual obligations.
Contract Administration & Lifecycle Management
Maintain a centralized contract repository/tracker recording key dates, renewal timelines, obligations, and expiry alerts.
Monitor vendor and contractor performance against agreed SLAs/KPIs and escalate non-compliance.
Manage contract renewals, amendments, extensions, and terminations in a timely manner to avoid lapses or automatic renewals unfavorable to the company.
Stakeholder Coordination
Liaise with Procurement, Finance, Production, and Admin departments to understand contracting needs and translate them into legally sound agreements.
Act as the primary point of contact for contract-related queries and disputes between the factory and external parties.
Support senior management and factory leadership with contract-related reporting, summaries, and risk briefings.
Dispute Resolution
Support resolution of contractual disputes through negotiation; coordinate with external legal counsel where litigation or arbitration is required.
Maintain documentation and evidence trails to support the company's position in any contractual dispute.
