Job Responsibilities:
∎ The Company Secretary is responsible to assist the Board of Directors and perform the duties and responsibilities as the Secretary of the Company mandated by the Companies Act 1994, Insurance Act 2010, Listing Rules, Corporate Governance Code 2018 (CGC) and any other applicable laws.
∎ Act as the focal point for the General Shareholders. Handle Investor Relations in order to maintain and improve communications between the Company and shareholders.
∎ Must be well conversant with BSEC Act & rules, RJSC, DSE, CSE, CDBL rules, IDRA Circular and Rules & Regulation.
∎ Drafting of Notice, Agenda, Notes, Minutes of EGM, AGM, Board and all Committee Meetings of the Company and ensure implementation the decisions thereof.
∎ Preparation and filling of documents and returns in compliance of regulatory requirements.
∎ Review of Quarterly / Annual financial statement and prepare Annual Report of the Company.
∎ Perform other duties related to Board affairs as and when required.
