∎ In-depth knowledge of Bangladeshi laws and regulatory frameworks.
∎ Proven experience in drafting contracts, litigation management, regulatory compliance and managing legal team
∎ Strong interpersonal and communication skills.Ability to work independently and handle confidential information with integrity.

Responsibilities & Context:
∎ Conduct legal risk assessments and develop strategies to mitigate business and legal risks. Advising senior management on the legal implications of all major decisions, strategies and transactions of the Company.
∎ Draft, review and negotiate all types of contracts, MOU and agreements of the companies (including its subsidiaries) and its partners, or associated third parties.
∎ Coordinating and overseeing the activities of legal advisers representing the Company and its subsidiaries regarding potential risks, claims and legal proceedings.
∎ Oversee / represent the Company and / or its subsidiaries, in lawsuits and other legal proceedings, providing guidance on legal issues arising from actual or anticipated litigation, and helping prevent future disputes.
∎ Effectively manage and resolve significant disputes with minimal business impact, utilizing mediation, negotiation, or litigation as necessary.
∎ Liaise with internal and external advisors / consultants and administrative follow-up of legal cases, contracts, licenses, transactions, coordination of the execution of the relevant documentation for signings and closings.
∎ Provide legal counsel on corporate, commercial, labor, tax, intellectual property, and regulatory matters. Also ensure compliance with all applicable laws, rules, and regulations including those from BIDA, RJSC, NBR, and other regulatory bodies.
∎ Lead or support internal investigations and handle legal issues related to HR, finance, procurement, and other operations.
∎ Liaise with government and regulatory authorities for necessary approvals, registrations, and dispute resolutions.
∎ Monitor changes in relevant laws and regulations and ensure the organization’s policies remain compliant.

∎ Job Summary:
∎ The Manager / Sr. Manager, Legal Affairs will lead and manage the legal activities of the group of companies, ensuring full legal compliance with local laws, regulatory requirements, and corporate governance standards. This role will involve providing strategic legal advice, managing litigation, overseeing contract negotiations, and mitigating legal risks across the group’s diverse business operations. The incumbent will collaborate closely with senior management, external counsel, court officials and relevant government, semi-government and autonomous authorities, and play a key role in policy development, risk assessment, and resolution of legal disputes. This position requires a strong background in corporate and commercial law, excellent judgment, and the ability to manage multiple priorities in a fast-paced business environment.
