• Bachelor of Law (LLB)
• Master of Law (LLM)

• Sound academic background including LL.B. (Honors) and LL.M. from a recognized University with no 3rd Class at any academic level.

• Enrolment with the Bangladesh Bar Council is mandatory.

• The applicants should have experience in the following business area(s): Banks, Share Brokerage/ Securities House

• Age At least 37 years

• Minimum 12 (twelve) years of professional experience in legal practice, banking legal affairs, or corporate legal services. At least 3 (three) years of experience in a leading position within the Legal Division of a scheduled bank or reputed financial institution.

• Strong experience in banking litigation, recovery, loan documentation, regulatory compliance, and corporate legal advisory, complemented by extensive banking experience with proven exposure to senior management and strategic leadership roles within reputed financial institutions.

• Additional professional qualifications or certifications in Banking Law, Corporate Law, Compliance, Arbitration, or Corporate Governance will be considered an added advantage.

Additional Requirements

• Comprehensive knowledge of banking laws, corporate laws, labour laws, commercial contracts, and regulatory frameworks applicable to banks in Bangladesh.

• Strong analytical, negotiation, advocacy, and legal drafting skills.

• Excellent understanding of Bangladesh Bank regulations and corporate governance requirements.

• Proven ability to manage complex litigation and legal risk.

• Strong leadership, communication, and stakeholder management capabilities.

• Excellent command of both English and Bangla, with exceptional legal drafting and presentation skills.

• High ethical standards, sound judgement, and the ability to maintain strict confidentiality.

This leadership role is responsible for overseeing the Bank's legal affairs, ensuring regulatory compliance, managing litigation and legal risks, providing strategic legal counsel, and working closely with the Board of Directors, Senior Management, Bangladesh Bank, regulatory authorities, and other stakeholders to uphold the highest standards of legal governance and support the Bank's sustainable growth.

Job Responsibilities

• Lead and oversee all legal affairs of the Bank, ensuring compliance with applicable laws, regulations, and corporate governance requirements.

• Provide strategic legal advice to the Board of Directors, Board Committees, Managing Director & CEO, and Senior Management on legal and regulatory matters.

• Manage all litigation, arbitration, recovery cases, disputes, and legal proceedings involving the Bank.

• Develop legal strategies to minimize legal and operational risks while protecting the Bank's interests.

• Review, draft, negotiate, and vet contracts, agreements, memoranda, service-level agreements, and other legal documents.

• Ensure compliance with the Bank Company Act, Negotiable Instruments Act, Artha Rin Adalat Act, Money Loan Court matters, Labour Laws, Company Laws, and other applicable banking regulations.

• Liaise with Bangladesh Bank, BFIU, regulatory authorities, government agencies, law enforcement agencies, and external legal counsel.

• Provide legal support for loan documentation, syndication, recovery, restructuring, corporate finance, procurement, and strategic business initiatives.

• Oversee legal due diligence for major transactions, acquisitions, investments, and property-related matters.

• Monitor changes in laws and regulations and advise management on their business implications.

• Develop and implement legal policies, standard documentation, and governance frameworks.

• Lead, mentor, and develop the Legal Division to ensure operational excellence and high professional standards.

• Represent the Bank in high-level legal negotiations and regulatory engagements as required.
