Job Responsibilities & Context – Legal Advisor | Group of Companies

Job Responsibilities

• Provide comprehensive legal advice and strategic guidance to the Group’s Board of Directors, senior management, and individual group entities on corporate, commercial, employment, regulatory, and operational matters.

• Ensure that all companies, subsidiaries, business units, factories, offices, and projects within the Group operate in compliance with applicable laws, regulations, rules, licenses, and statutory requirements of Bangladesh.

• Draft, review, negotiate, and finalize employment agreements, commercial contracts, supplier/vendor agreements, service agreements, partnership agreements, NDAs, MOUs, lease agreements, and other legal instruments.

• Advise HR and management on Bangladesh labour and employment law, including recruitment, probation, disciplinary proceedings, termination, resignation, employee benefits, working hours, overtime, leave, workplace policies, and employee disputes.

• Conduct legal due diligence and risk assessments for new business initiatives, investments, contracts, projects, partnerships, acquisitions, and other significant transactions.

• Establish and maintain appropriate legal compliance and risk-management frameworks across the Group.

• Review and update company policies, internal regulations, SOPs, employee handbooks, governance documents, and contractual templates to ensure legal validity and consistency across Group entities.

• Handle and coordinate legal notices, disputes, claims, litigation, arbitration, settlements, and regulatory proceedings involving any Group company.

• Liaise with external lawyers, law firms, government authorities, regulators, courts, and other statutory bodies on behalf of the Group.

• Provide legal support concerning company incorporation, corporate restructuring, licenses, permits, registrations, regulatory approvals, intellectual property, tax/VAT-related legal matters, and other statutory requirements.

• Monitor all material contracts and ensure proper execution, renewal, compliance, documentation, and risk control.

• Maintain a centralized and properly organized legal database and repository covering contracts, licenses, corporate documents, litigation records, notices, and regulatory correspondence for all Group entities.

• Monitor changes in Bangladesh laws, regulations, government policies, and regulatory requirements and advise management on their implications for the Group.

• Provide timely written legal opinions, recommendations, and risk assessments to support management and investment decisions.

• Conduct legal awareness sessions or briefings for relevant departments when necessary to improve legal compliance and risk awareness.

• Protect the Group’s legal, financial, contractual, commercial, and reputational interests while maintaining the highest standards of confidentiality and professional ethics.

Job Context

The Legal Advisor will support the legal and regulatory requirements of a diversified Group of Companies, including its subsidiaries, affiliated entities, corporate offices, factories, commercial operations, and future business ventures.

The position will work closely with the Board of Directors, CEO/Managing Director, Senior Management, HR, Finance & Accounts, Procurement, Operations, Administration, and external legal counsel.

The Legal Advisor will play a strategic role in ensuring Group-wide legal compliance, corporate governance, contract management, employment-law compliance, dispute management, and legal risk mitigation. The position requires a proactive approach to identifying legal risks and providing practical, commercially sound solutions before such risks develop into disputes or liabilities.

Key Objective:

To protect the legal and commercial interests of the Group, ensure regulatory compliance across all Group entities, minimize legal exposure, and provide reliable legal guidance to support sustainable business growth and effective corporate governance.
