Job Description: Manager – Legal

Department: Sales & Distribution

Location: Dhaka, Bangladesh.

Position Overview

The Manager – Legal will play a strategic role in safeguarding the organization’s legal, regulatory, and compliance framework while enabling business growth in the highly regulated Payment Service Provider (COMPANY) sector. The position will be responsible for advising management on legal risks, ensuring regulatory adherence, managing contracts, handling disputes, and proactively guiding the business in alignment with Bangladesh Bank (BB) directives and international best practices in the financial services and fintech industry.

Key Responsibilities

Legal Advisory & Governance

• Provide legal guidance to the Board, CEO, and senior leadership on business strategies, partnerships, and operational risks.
• Ensure alignment of corporate governance practices with local regulations and international compliance frameworks.
• Interpret Bangladesh Bank COMPANY regulations, Payment Systems Act, Anti-Money Laundering (AML)/CFT laws, ICT Act, and Data Protection regulations.

Regulatory & Compliance Management

• Liaise with regulatory authorities, including Bangladesh Bank, BTRC, NBR, and other relevant government bodies.
• Develop and maintain compliance programs to meet company license obligations.
• Ensure timely submission of regulatory reports, renewals, and approvals.
• Monitor global fintech/company regulatory trends and proactively adapt Company policies.

Contract & Transaction Management

• Draft, review, and negotiate contracts, MoUs, vendor agreements, SLAs, NDAs, customer terms, and partnership deals.
• Standardize contract templates to reduce risk and ensure legal enforceability.
• Provide legal due diligence for mergers, acquisitions, joint ventures, and investment transactions.

Dispute Resolution & Litigation

• Manage litigation, arbitration, and dispute settlement matters on behalf of the Company.
• Engage and coordinate with external counsels when necessary.
• Mitigate potential legal exposures by advising management on dispute-prevention strategies.

Risk Management & Policy Development

• Identify, assess, and minimize legal risks across the Company’s operations.
• Develop internal policies and training programs on compliance, AML, anti-bribery, and data protection.
• Support enterprise risk management (ERM) by integrating legal risk controls.
