Responsibilities & Context:

ACI Properties Limited is building its next phase of growth, anchored in premium property management and a portfolio of digital-first ventures. We are seeking a seasoned Manager, Legal to serve as the designated in-house legal counsel for ACI Properties Ltd. and its associated digital entities.

The Manager, Legal, will be the organization`s primary legal resource: advising the leadership team on property transactions, regulatory compliance, commercial contracts, corporate governance, and risk. The role demands someone equally comfortable reviewing a land deed and structuring agreements for a SaaS or digital commerce entity

  • Reports to: Director of Corporate Affairs

What You Will Do

  • Lead all legal due diligence for land acquisition, property development, and asset transactions.

  • Draft, review, and negotiate sale agreements, MoUs, JV agreements, lease deeds, and power of attorney documents.

  • Ensure clear title chain; identify and resolve encumbrances, mutations, and ownership disputes.

  • Manage relationships with sub-registrar offices, RAJUK, City Corporation, and relevant land administration authorities.

  • Handle property litigation including eviction proceedings, title disputes, and execution matters - coordinating with external advocates as needed.

  • Support ACI PLC company secretary in maintaining statutory registers, board resolutions, and filing obligations under the Companies Act

  • Provide legal support for ACI Properties and any future digital ventures including platform terms, privacy policies, and digital commerce compliance.

  • Structure and review franchise, licensing, and distribution arrangements.

  • Monitor and ensure compliance with relevant Bangladesh laws - Companies Act, Land Registration Act, Transfer of Property Act, Contract Act, Consumer Rights Protection Act, Digital Security Act, and sector-specific regulations.

  • Liaise with RJSC, NBR, BIDA, and other regulatory bodies on filings, approvals, and compliance matters.

  • Maintain compliance calendar; flag regulatory changes with business impact analysis.

  • Manage all ongoing and anticipated litigation - civil, commercial, and regulatory.

  • Appoint, brief, and supervise external legal counsel; review court submissions and track case progress.

  • Structure legal frameworks for digital service launches e-commerce terms, travel booking conditions, user data

  • policies, refund and dispute policies

  • Review intellectual property matters: trademark registration, software licensing, domain and brand protection

What You Bring

  • Demonstrated track record of handling complex land transactions, title due diligence, and property litigation in Bangladesh

  • Familiarity with RAJUK, City Corporation, sub-registry, and land administration processes

  • Ability to work independently as the primary in-house counsel with minimal external support

  • Prior experience as in-house counsel in a property developer, diversified conglomerate, or financial institution

  • Exposure to digital business legal structures - e-commerce, SaaS, OTA, fintech, or healthcare IT Experience supporting investor transactions, due diligence rooms, or M&A documentation

  • Working knowledge of English legal drafting to the standard expected by international counterparts
