  • Age At most 50 years
  • Minimum 10 years of experience as Company Secretary in a reputed financial institution preferably in Bank
  • Must be proficient in Company Laws, Bank Company Act, SEC Laws and regulations, Joint Stock compliances, Central banks compliances, share management under CDS (Central Depository System), practical knowledge in managing IPO and rights issues, Computer operating knowledge is required.
  • Knowledge and practice with MS office, i.e., Word, Excel, Outlook, PowerPoint etc.
  • Excellent communication skills with good command of written and spoken English


Responsibilities & Context:
  • Ensure that various activities of the Board of Directors are in compliance with relevant laws, rules and regulations

  • Advise the Board of Directors and management on laws and regulations relevant to their duties

  • Organize and conduct meetings of the Board and board committees established by the Board of Directors to be in line with laws, regulations, articles of association, charters, and best practices and prepare minutes of meetings in compliance with laws and the Bank’s Articles of Association, including follow up of matters arising from meeting resolutions

  • Monitor and supervise the Bank’s overall operation to comply with relevant laws and regulatory requirements including resolution of Board of Directors, resolution of annual general meeting of shareholders

  • Provide legal, financial and/or strategic advice during and outside of meetings

  • Keep up to date with any regulatory or statutory changes and policies that might affect the Bank

  • File and keep the Bank’s important documentation such as certificate, memorandum & articles of association, shareholder register, licenses and power of attorney, etc

  • Provide guidelines so that the Bank shall formulate policies, comply with good corporate governance and conduct regular review

  • Provide support to the board or other committees on specific projects

  • Implement processes or systems to help ensure good governance of the Bank or compliance with legislation

  • Provide all the stakeholders with complete confidence and comfort that the Bank is being run openly and honestly in full compliance with all law and regulation.

  • Conduct shareholders’ meeting to be in line with laws, articles of association and good corporate governance principle, including perform duty of secretary to the shareholders’ meeting.

  • Maintain good relationship with shareholders, regulatory bodies, SEC, DSE, CSE

  • Organize AGM/EGM of the Bank.
