1. Ensure compliance with all relevant corporate governance laws, regulations, stock exchange listing requirements and company policies.

2. Manage the company’s global entity structure, including subsidiary governance and compliance.

3. Maintain and update key corporate records, including minute books, bylaws, charters, and policies.

4. Develop, implement, and maintain corporate governance policies, including Codes of Conduct and Ethics, Insider Trading Policies, and Whistleblower Procedures.

5. Identify, assess, and mitigate governance and compliance risks across the organization.

6. Administer the ethics hotline and support investigation processes as needed.

7. Continuously review and improve governance processes and checklists for efficiency and effectiveness.

8. Support the administration of the company’s whistleblower hotline and related investigation processes.

9. Identify and mitigate governance-related risks.

10. Promote a culture of ethics and compliance throughout the organization.

11. Lead the company’s ISO compliance program for relevant standards acting as the primary point of contact and subject matter expert.

12. Develop, implement, and maintain the ISO Management System, including all required documentation, policies, and procedures.

13. Plan and manage internal audit schedules to ensure ongoing ISO compliance and identify areas for improvement.

14. Coordinate and host external surveillance and re-certification audits with certification bodies; manage corrective action plans in response to audit findings.

15. Train and advise employees on ISO requirements and their role in maintaining certification.

16. Integrate ISO framework requirements (e.g., process approach, risk-based thinking, continuous improvement) into broader corporate governance and compliance ecosystem.
