  • Post Graduate Degree in any discipline preferably in Business/ Law with no Third (3rd) Division/Class/CGPA from any reputed university.

Additional Requirements:
  • Age At most 50 years
  • Not more than 50 years (as on December 31, 2025). Age may be relaxed in case of exceptional candidates.
  • Minimum 12-15 years' of experience in any reputed bank or non-bank financial institution out of which at least 05 years practical exposure as Company Secretary experience of a bank / FI. May be relaxed in case of exceptional candidates.
  • Institute of Chartered Secretaries of Bangladesh (ICSB) qualified candidates will be preferred.
  • Strong command over MS Office specially Microsoft Word, Excel, PowerPoint, etc.
  • Excellent inter personal skills along with excellent proficiency in Bengali & English.
  • Ability to work with Top Management.
  • Leadership and Team Management skills.
  • Extensive knowledge of corporate laws, banking regulations and governance practices.
  • Strong communication, analytical and decision-making skills.
  • Proficiency in drafting board resolutions, reports and regulatory submissions.
  • High level of integrity, confidentiality and attention to detail.


Responsibilities & Context:

HFCL is looking for capable, confident and enthusiastic individuals for working as Company Secretary.

Job Responsibilities:

  • Arrange meetings of the Board of Directors, Board Sub-Committees and other meetings
  • Arrange Annual General Meeting & Extraordinary General Meeting.
  • Prepare agendas, minutes and extracts
  • Ensure good governance across the organization through monitoring, advising, and reporting, as necessary.
  • Submit statutory reports, maintain registers and ensure compliance with legal requirements.
  • Inform Board Members of their duties, responsibilities and regulatory obligations.
  • Stay updated on laws, regulations and official guidelines, advising the Board and Management accordingly.
  • Stay updated on governance trends and enhances professional expertise.
  • Identify and implement improvements in corporate secretarial functions.
  • Act as the focal point for regulatory bodies, auditors and legal advisors
  • Ensure compliance with BSEC, Bangladesh Bank, Stock Exchanges and RJSC
  • Lead the IPO application process and coordinate with all relevant stakeholders.
  • Perform any other task assigned by the Management
