Skills Required: Additional Requirements: - Not more than 50 years (as on December 31, 2025). Age may be relaxed in case of exceptional candidates.
- Minimum 12-15 years' of experience in any reputed bank or non-bank financial institution out of which at least 05 years practical exposure as Company Secretary experience of a bank / FI. May be relaxed in case of exceptional candidates.
- Institute of Chartered Secretaries of Bangladesh (ICSB) qualified candidates will be preferred.
- Strong command over MS Office specially Microsoft Word, Excel, PowerPoint, etc.
- Excellent inter personal skills along with excellent proficiency in Bengali & English.
- Ability to work with Top Management.
- Leadership and Team Management skills.
- Extensive knowledge of corporate laws, banking regulations and governance practices.
- Strong communication, analytical and decision-making skills.
- Proficiency in drafting board resolutions, reports and regulatory submissions.
- High level of integrity, confidentiality and attention to detail.
Responsibilities & Context: HFCL is looking for capable, confident and enthusiastic individuals for working as Company Secretary.
Job Responsibilities:
- Arrange meetings of the Board of Directors, Board Sub-Committees and other meetings
- Arrange Annual General Meeting & Extraordinary General Meeting.
- Prepare agendas, minutes and extracts
- Ensure good governance across the organization through monitoring, advising, and reporting, as necessary.
- Submit statutory reports, maintain registers and ensure compliance with legal requirements.
- Inform Board Members of their duties, responsibilities and regulatory obligations.
- Stay updated on laws, regulations and official guidelines, advising the Board and Management accordingly.
- Stay updated on governance trends and enhances professional expertise.
- Identify and implement improvements in corporate secretarial functions.
- Act as the focal point for regulatory bodies, auditors and legal advisors
- Ensure compliance with BSEC, Bangladesh Bank, Stock Exchanges and RJSC
- Lead the IPO application process and coordinate with all relevant stakeholders.
- Perform any other task assigned by the Management
