∎ About DGIC: Desh General Insurance Company Limited (DGIC) is one of the pioneering general insurance companies in Bangladesh. It was incorporated on February 08, 2000, as a public limited company, under the Companies Act 1994 and Insurance Act 1938 (Replaced by Insurance Act, 2010) and its operation commenced on 1st March 2000 with a paid-up capital of BDT 60.00 million. Now, Desh General Insurance Company Ltd. has amassed more than BDT 240 million with a credit rating of AA- (long term). Desh General Insurance Company (DGIC) has a presence in the strategically important parts of the country which includes 27 branches.
∎ Position Description: It is a Mid-level position based at DGIC Head Office located in Dhaka Bangladesh. We are looking for our Insurance Company for the head office as "Company Secretary (CS)" to determine potential monitor compliance under the Companies Act with the Secretarial Procedures, Company Policies and secretarial reporting process. The successful candidate must be able to apply the proper rules which will result in preparing board meeting time to time and other secretarial notes on different issues undertakes for decision making.

Job Responsibilities:
∎ Maintaining different documents of the Chairman/Board member/shareholder with the consent of the CEO/Chairman.
∎ Contact with all Stakeholders/Board Members communications on behalf of Chairman through email, phone call, and other social media by consent with CEO.
∎ Arrange Board meeting with the consent of the Chairman of the Board and the Managing Director / CEO and also arrange General meeting of the shareholders as and then necessary.
∎ Handle the proceedings of Annual General Meeting (AGM) successfully and to ensure due compliance.
∎ Ensure timely circulation of notice and Board working papers to the Directors for Board meeting.
∎ Maintaining all appointments and meeting schedules of the Board/Chairman and updating information regularly.
∎ Organizing and preparing agendas and papers for board meetings, committees and annual general meetings;
∎ Preparing secretarial notes on different issues concerned with the Chairman/CEO for the company.
∎ Screening and taking note from all telephone/mobile calls and conveying information.
∎ Maintaining company share liaison with the Stock Exchange,
∎ Keep up to date with any regulatory or statutory changes and policies and take appropriate action.
∎ Arranged and maintained dividend warrant letter of all shareholder.
∎ Maintain good relationship with concern Regulatory Bodies like RJSC, BSEC, DSE, CSE, CDBL.
∎ Publication of Company's annual report and accounts.
∎ Arrange publication of "Price Sensitive Information" and "Financial Statement" in the press media and circulation of Annual Reports in timely manner.
∎ Maintained and Reporting to CDBL every month.
∎ Ensure policies are kept up to date and approved by the Management/Board.
∎ Sign contracts, agreements and lease documents on behalf of the Company
∎ Maintain statutory records, including registers of members, directors etc.
∎ Provide guidance and activities to the Board Members in discharging their duties and responsibilities under the rules and regulations to which they are subject.
∎ Ensure maintenance of good corporate governance through monitoring, advice and reporting.
∎ Getting legal opinions in appropriate cases, liaison with legal counsel.
∎ Vetting of contracts/agreements and submission of periodical regulatory returns.
∎ Collate information, write reports and communicate decisions to relevant company stakeholders.
∎ Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
∎ Taking minutes, drafting resolutions, lodging required forms and annual returns with Companies House;
∎ Following up on actions from meetings;
∎ Overseeing policies, making sure they are kept up to date and referred to the appropriate committee for approval;
∎ Maintaining statutory books, including registers of members, directors and secretaries;
∎ Dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant company stakeholders;
∎ Contributing to meeting discussions as and when required, and advising members of the legal, governance, accounting and tax implications of proposed policies;
∎ Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action;
∎ Liaising with external regulators and advisers, such as lawyers and auditors;
∎ Developing and overseeing the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
∎ Following-up actions on pending important issues.
∎ Assist the managers/executives to accomplish important tasks and reminding about deadlines.
∎ Accompanying Chairman in the time of visiting different establishments and taking notes.
∎ Notifying Chairman on upcoming events and formulating necessary arrangements.
∎ Maintaining confidential papers, files, and agreements.
∎ Maintaining and updating a database for all communication.
∎ Any other secretarial tasks are relevant to this role.
∎ Carryout any other duties as directed by the Management from time to time.

Salary: Negotiable
