Experience:

• At least 10 years

• LL. B (Honors) and LL. M from UGC approved or recognized foreign university.

• Bar-at-Law or PhD will be preferred.

• Enrollment as an advocate with the Bangladesh Bar Council.

• No 3rd Division/class in any academic record is allowed.

• At least 10 years

• Excellent leadership and management skills. Ability to handle complex legal issues and litigation.
• Minimum 10 years of experience in legal practices along with a minimum 5 years of experience in senior leader of legal team including head of legal dept/law division in any Bank or Financial Institution.
• Extensive practical knowledge of banking laws, loan recovery process and regulatory compliance etc.

CORE RESPONSIBILITIES:

• Legal Strategy: Develop and implement comprehensive legal strategies that align with the Bank`s overall goals & objectives.

• Executive Advisory: Provide expert legal counsel to the executives on key business decisions and strategic matters. Conduct legal training and development of training materials, legal frameworks and policies for handling default cases, loan recoveries and other legal matters.

• Risk Management: Identify, assess and mitigate potential legal risks across various jurisdictions. Monitor legal risk, rights and operational lapses on daily banking business to protect bank`s interest.

• Compliance: Ensure the organization complies with applicable laws & regulations.

• Legal Dept./Law Division Management: Lead and manage the Legal Dept./Law Division, fostering a collaborative and high-performing team. Supervise and coordinate external counsels-approvals, evaluation, engagements, billing, negotiations through extensive visit.

• Contract Negotiation and Review: Oversee the drafting, reviewing and negotiating of contract, agreements and other legal documents.

• Litigation Management: Manage litigation and other legal disputes involving the Bank. Represent the bank in legal forums, arbitration proceedings and negotiations and maintain healthy relationship.

• Corporate Governance & Intellectual Property: Provide legal guidance on issues of corporate governance. Oversee the protection of the Bank`s intellectual property.

• Regulatory Affairs: Advise senior management and the Board on legislative update and strategic legal matters and ensure regulatory compliance. Update changes in relevant laws & regulations and advice the Bank on necessary actions. Handle loan recovery and default escalation with effective negotiation and ensure legal action incoordination with law enforcing agency (ACC/CID/DB/PIB/Police) including BFIU and other regulatory bodies.

• Others Legal Affairs: Stay updated industry specific knowledge to provide legal opinion, review the draft agreements (credit, corporate, rental etc.) and assist other departments/units within the functions and cross-functions.
