Educational Requirements:
∎ Masters degree in any discipline
∎ MBA/Master's degree in any discipline with minimum CGPA of 3.00 (on the scale of 4) or 1st Class from any reputed university with very good knowledge and command in English. Full/Partly qualified from Institute of Chartered Secretaries of Bangladesh will be preferred.

Job Responsibilities:
∎ Prepare agendum and papers for board meetings, committees, and general meetings (AGM/EGMs);
∎ Convene and serve GMs, take minutes, draft resolutions, and lodge required forms and annual returns with concerned departments;
∎ Ensure timely circulation of Notice and Board working papers to the Directors for Board/EC meetings;
∎ Ensure maintenance of good corporate governance through monitoring, advising and reporting;
∎ Provide legal, financial, and/or strategic advice during and outside of meetings;
∎ Ensure policy, regulatory, or statutory changes that might affect the organization are up to date;
∎ Maintain statutory books, including registers of members, directors, and secretaries;
∎ Handle correspondence, collate information, write reports and communicate decisions to relevant company stakeholders;
∎ Liaise with external regulators and advisers such as lawyers and auditors;
∎ Implement processes or systems to ensure good management of the organization;
∎ Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements;
∎ Pay dividends to shareholders and manage various shareholders;
∎ Take an active role and provide valuable input to management decisions related to different issues;
∎ Drive PR activities related and investor relations.
∎ Ensuring all compliances with the regulators including the required reports and information;
∎ Facilitating internal and external Auditors;
∎ Dealing with CDBL Software;
∎ Any other activities relevant to the job.
Additional Requirements:
∎ Age at least 27 years
∎ Excellent interpersonal communication skill;
∎ Good writing skills both in English and Bangla;
∎ Understanding laws and regulations;
∎ Conversant with MS Office (Specially in MS Word, Excel and Power Point);
∎ Ability to work with minimum guidance;
∎ Can-do attitude and ability to deliver under time constraints;
∎ Able to maintain utmost level of confidentiality;
∎ Minimum 3 years' experience of working in Board Secretarial division
