Additional Requirements:
  • Age 32 to 50 years
  • Enrolled as an Advocate under Bangladesh Bar Council.

  • Strong drafting, vetting, and legal research skills.

  • Practical knowledge of court procedures and case management.

  • Strong knowledge of corporate laws, civil law, criminal law, labor laws, commercial contracts, banking, regulatory affairs, and litigation.

  • Proficient in MS Word, MS Excel, MS PowerPoint, Google Sheets.

  • Must have good presentation and public speaking skills.

  • Experience working in Group of companies or corporate, IT/Software/Telecommunication, or multinational environments.

  • Should have a positive and can-do attitude.

  • Strong leadership and team management.

  • Excellent communication and negotiation skills.

  • Strong decision-making and problem-solving ability.

Responsibilities & Context:

A. Legal Advisory & Governance

  • Provide strategic legal advice to the Board and Executive Management to support informed decision-making by analyzing legal implications of business actions.

  • Ensure all group companies operate within applicable legal and regulatory frameworks to prevent legal exposure by continuously reviewing laws and business practices.

  • Develop and maintain corporate governance policies to ensure accountability and transparency by implementing structured governance frameworks.

B. Contract Management

  • Draft, review, and vet various legal documents including contracts, MoUs, agreements, deeds, NDAs, NOC, vendor contracts, and lease agreements to protect the company’s legal and commercial interests by ensuring all terms are compliant, clear, and enforceable.

  • Develop standardized templates to maintain consistency and reduce legal risks by creating unified formats for all group companies to use.

C. Litigation & Dispute Resolution

  • Oversee all litigation, arbitration, and dispute resolution matters to safeguard the organization from legal liabilities by coordinating case strategies and ensuring timely legal actions.

  • Manage external law firms and monitor legal expenses to ensure cost-efficient legal representation by reviewing invoices, assessing performance, and controlling legal budgets.

  • Represent Sheba Group in legal forums when required to protect the company’s position by presenting facts and coordinating with legal representatives.

  • Ensure liaison and coordination with external panel lawyers for case follow-ups and hearing updates.

  • Attend court with legal professionals to support proper case submission by providing accurate documents and ensuring timely filings.

  • Review, draft, and submit case-related pleadings, affidavits, and legal notices.

  • Ensure maintenance of a complete record of all pending and disposed cases and prepare periodic litigation reports.

D. Regulatory & Corporate Affairs

  • Monitor changes in laws and regulations to keep stakeholders updated and compliant by conducting regular legal reviews and issuing advisory notes.

  • Oversee statutory filings, licensing, and corporate documentation to meet mandatory regulatory requirements by ensuring timely preparation and submission of documents.

  • Maintain liaison with relevant government offices, courts, and regulatory authorities as required.

  • Ensure submission of periodic legal status reports to management.

  • Maintain proper filing and documentation of all legal papers, notices, and correspondence.

E. Risk Management

  • Identify legal risks to prevent potential disputes or liabilities by assessing contracts, operations, and decisions for legal vulnerabilities.

  • Recommend and implement risk mitigation strategies to minimize exposure by developing preventive legal controls and policies.

  • Advise and support in settling tax and VAT-related legal matters to ensure financial compliance by coordinating with tax consultants and verifying adherence to applicable laws.

F. Leadership & Team Management

  • Work closely with other departments (Operations, Sales, HR, Accounts, Admin etc.) to ensure legal compliance in operational activities.

  • Lead the Group Legal Team to enhance departmental performance by providing direction, guidance, and structured workflows.

  • Provide legal training and awareness sessions to strengthen employee understanding of legal responsibilities by conducting workshops and knowledge sessions.

  • Promote a culture of legal awareness and ethical practices to uphold organizational integrity by encouraging compliance-driven behaviors across departments.
