Job Context:
∎ Responsible for secretarial function of Golden Harvest Group.
∎ Advise the board and management committees on all statutory and constitutional requirements to ensure that business is conducted in proper and effective manner.

Job Responsibilities:
∎ Convene Annual General Meeting, Board of Directors meeting and Audit and other committee meetings on time in compliance with the Corporate Governance Guidelines and prepare minutes of all meetings timely and correctly.
∎ Ensure that the AGM and other Board of Director’s notices are dispatched properly and timely.
∎ Comply with the listing regulations issued by the BSEC and comply with the price sensitive information requirement as and when required and advice the Board accordingly.
∎ Convene audit committee meetings every quarterly and prepare minutes of the meetings with the help of Internal Auditor and take responsibility of circulating extracts of minutes to the members of management for respective action, if required.
∎ Submit the statutory report (if and when required) and responsible for filing and maintaining various statutory returns and registers in due time.
∎ Maintaining full proceedings of the Board and Annual General Meeting in line with the instructions and guidelines issued by the regulatory authorities like BSEC, RJSC or Stock Exchanges.
∎ File the annual list of members and summary of share capital together with the authenticated Balance Sheet and the P & L Accounts.
∎ Issue dividend warrants, bonus share certificates and make arrangement for disposal of financial shares.
∎ Make arrangement for inspection of minutes and provide copies thereof, if so requested by members.
∎ Maintain liaison between Company and the regulatory authorities like RJSC and BSEC.
∎ Act as repository of Company documents, directors’ details, registration forms, minutes, contracts etc. which are either endorsed by the Board or required per the BSEC and RJSC Rules.
∎ Make sure that all returns and fees related to Stock Exchanges/ CDBL/RJSC/BSEC are paid on time and complied with maintaining deadlines fixed by each agency.
∎ Take full responsibilities in forming a new company or changing or amending the MA/AA of the existing companies including capital raise and do all steps required to complete the formalities as set by the regulatory authorities.
∎ Work as Investors’ Relation person for the Company in resolving queries from the shareholders or communicating with the investors or shareholders at large.
∎ Perform any other tasks assigned by the supervisor.

Additional Requirements:
∎ Age at least 35 years
∎ Minimum 5 years of relevant experience in any public listed company.
∎ Thorough knowledge of Companies and Securities law; Functions related to BSEC, BIDA, RJSC, DSE, CSE; Company secretarial practice; Share management; Stakeholders management; Excise and corporate tax management; Trust fund management.
∎ Attention to detail and a well-organized approach to work.
∎ A diplomatic approach and the confidence to provide support to high-profile company staff and board members.
∎ Confident and trustworthy individual who knows how and when to be discreet.
∎ The ability to prioritize work and to work well under pressure

Salary: Negotiable
