Educational Requirements:
∎ Bachelor of Law (LLB), Bachelor of Business Administration (BBA), Bachelor of Arts (BA) in English
∎ Must complete Chartered Secretary (Executive Level) from ICSB (Institute of Chartered Secretaries of Bangladesh)
∎ 4-6 years' experience in Company Affairs role
∎ Must have good knowledge in RJSC, Company Law and other Business laws
∎ Preferred Professional Certification: ICSB Certifications
∎ Skills Required: Communication, Company Law, Drafting
Experience Requirements:
∎ 4 to 6 year(s)
∎ The applicants should have experience in the following area(s):
Corporate and Commercial Law, Regulatory
∎ The applicants should have experience in the following business area(s):
Group of Companies, Telecommunication
Job Responsibilities:
∎ Arrange Annual General Meeting (AGM), Extraordinary General Meetings (EGM) and Board Meetings.
∎ Prepare and serve Notice of Meetings.
∎ Ensure smooth running of the Board's activities by assisting MD to set agendas, preparing papers and presenting papers to the Board.
∎ Prepare and serve Board of Directors working papers for Board Meetings.
∎ Attend board meetings, ensure all meetings are minuted and that the minutes accurately reflect the views of the Board.
∎ To act as a primary point of contact and source advice and guidance for Directors as regards the Company and its legal activities in order to support the decision making process.
∎ Assist in preparation of contracts and agreements as may be required which may also include liaison with legal counsel.
∎ Prepare and circulate Annual Calendar of board and committee meetings and other key dates.
∎ Keep under close review of all legislative, regulatory and corporate governance developments that might affect the Company's operations, and to ensure the Board is fully briefed on these and that it has regard to them when taking decisions.
∎ Keep proper records of AGM, EGM, Board Meetings, Board Committee Meetings, resolution, RJSC's documents, meeting minutes and all business letters, notices and other official publications issued by the Company Secretariat.
∎ Ensure the Company complies with its Memorandum and Articles of Association and, drafting and incorporating amendments in accordance with correct procedures.
∎ Coordinate in the publication and distribution of the Company's Annual Report and Accounts and Interim Statements, in consultation with the Company's internal and external stakeholders.
∎ Organize and maintain database of the company's contracts and agreements.
∎ Liaison and maintain excellent relationship with various government offices.
∎ While this job description is intended to be an accurate reflection of the requirements of the position, management reserves the right to assign any other lawful activities as and when required in the interest of business situation.
Additional Requirements:
∎ Age 28 to 35 years
∎ Both males and females are allowed to apply
∎ Excellent communication skills in Bangla & English, both verbally and in writing
∎ Strong IT skills, including Microsoft Word, Excel, PowerPoint and Outlook and familiarity with using social media in a professional context
∎ Acute attention to detail
∎ Strong organizational, prioritizing, and multitasking skills
∎ Enthusiastic and proactive in nature
∎ Should be positive in attitude, result-oriented & ready to take challenges
∎ Good team player skill, execution skill and ability to manage
Salary:
∎ Negotiable
