• Bachelor of Laws (LL.B.) from any Public/UGC-approved private or foreign university.

• Masters of Laws (LL.M) from any Public/UGC-approved private or foreign university, Barrister-at-law qualification will be an added advantage.

• Enrollment as an advocate under the Bangladesh Bar Council. (having permission to practice before the Hon’ble High Court Division of the Supreme Court of Bangladesh will be preferred)

• Candidates having 3rd Division/Class in any academic qualifications need not apply

• Extensive knowledge and practical implications of Artha Rin Adalat Ain 2003, The Code of Civil Procedure 1908, The Code of Criminal Procedure 1898, The Negotiable Instruments Act 1881, corporate law, contract Law, litigation, mediation, regulatory compliance etc.

• Practical experience in handling matters in compliance with Sections 12 and 33 of the Artha Rin Adalat Ain, 2003, and the relevant provisions of the Code of Civil Procedure, 1908.

• Extensive experience in drafting, reviewing, and verifying loan agreements, tripartite agreements, and other contractual documents as required by the organization.

• In-depth knowledge and practical experience in handling case proceedings before District Courts and the Apex Court.

• Proven track record in completing legal cases and reduce turnaround time in legal case closing.

• Exceptional leadership, communication, and interpersonal skills.

• Ability to think strategically, analytically and make strategic decisions.

• Experience in managing and developing high-performing teams.

Experience:

• Minimum 12 years of professional legal experience, with a minimum of 3 years in a managerial or leadership role, overseeing legal teams or functions.

• Experience in working as Head of Legal Department preferably in financial institutions or corporate legal affairs will be an added advantage.

• Provide strategic legal leadership to ensure the Financial Institution’s business activities are conducted in full compliance with applicable laws, regulations, Bangladesh Bank circulars, guidelines, and directives.

• Act as a key advisor to senior management and the Board on regulatory, legal, and governance matters, supporting informed decision-making and regulatory soundness.

• Ensure effective identification, assessment, and mitigation of legal and regulatory risks in line with the Institution’s risk management framework and regulatory expectations.

• Oversee the drafting, review, vetting, and negotiation of all legal documents, contracts, agreements, policies, and instruments to safeguard the Institution’s legal, financial, and reputational interests.

• Manage and supervise all litigation before District Court and the High Court Division, Supreme Court of Bangladesh, arbitration, writs, and regulatory proceedings involving the Institution, including engagement, oversight, and performance evaluation of external legal counsel.

• Ensure timely and accurate legal support for operational matters, including credit documentation, recovery proceedings, enforcement of securities, loan restructuring, and execution of statutory and contractual documents.

• Develop, implement, and regularly update legal policies, standard operating procedures (SOPs), and legal frameworks in line with Bangladesh Bank guidelines, corporate governance codes, and internal control requirements.

• Support corporate governance compliance by advising the Board, Board Committees, and Management on statutory obligations, regulatory disclosures, fit and proper criteria, and governance best practices.

• Monitor regulatory changes, circulars, notices, and advisories issued by Bangladesh Bank and other regulators; ensure prompt dissemination, interpretation, and implementation across the Institution.

• Liaison and maintain constructive working relationships with regulatory authorities, courts, tribunals, and relevant government agencies to ensure effective regulatory coordination and compliance.

• Ensure timely submission, review, and legal vetting of regulatory filings, reports, affidavits, and responses to regulatory queries, inspections, and audits.

• Support internal audit, compliance, and risk management functions by providing legal interpretations, regulatory clarifications, and corrective action inputs where required.

• Build, lead, and develop a competent legal team with appropriate skills in banking and financial laws, regulatory compliance, litigation management, and governance.

• Promote a strong compliance culture across the Institution by providing legal awareness, guidance, and training to management and operational teams.
