Responsibilities & Context:

  • Organize and coordinate meetings of the Board of Directors, Board Sub-Committees, and other meetings as directed by the CEO, ensuring proper planning and follow-up.

  • Prepare, circulate and maintain agendas, minutes, resolutions, and extracts of meetings.

  • Keep Board members informed of their duties, responsibilities, and regulatory obligations as and when required.

  • Submission of statutory returns, maintenance of statutory registers and ongoing compliance with applicable legal and regulatory requirements.

  • Oversee corporate disclosures, annual reports, and statutory filings with relevant regulatory and statutory authorities.

  • Promote good governance across the organization through monitoring, advising, and reporting, as necessary.

  • Monitor changes in laws, regulations and official guidelines and provide timely advice to the Board and Management; also ensuring adherence to fit and proper criteria for Directors and Senior Executives.

  • Keep up-to-date of emerging governance trends and standards and enhancement of professional expertise within the organization.

  • Identify opportunities for improvement and implement best practices in corporate secretarial and governance functions.

  • Arrange and facilitate Annual General Meetings (AGM) and Extraordinary General Meetings (EGM), ensuring timely preparation and dissemination of annual report, directors’ report, notices and resolutions.

  • Act as the focal point for regulators, auditors, and legal advisors.

  • Ensure compliance with BSEC, Bangladesh Bank, Stock Exchanges, and RJSC for listed companies.

  • Lead and coordinate IPO-related corporate secretarial activities, liaising with regulators, advisors, and internal stakeholders as required.

  • Perform any other duties as assigned by the Board of Directors and Senior Management.
