Education and Experience:
Bachelor’s degree in business administration, law, public administration, or a related field (Master’s degree preferred)
Experience in the FMCG & preference will be given to those with a former Govt—secretarial background from the Bangladesh Secretariat
Minimum of 10 years of experience in governance, compliance, risk management, or a similar field
Previous leadership experience within a corporate, non-profit, or governmental organization
Skills and Competencies:
In-depth knowledge of governance frameworks, regulatory compliance, and risk management principles
Exceptional communication, facilitation, and interpersonal skills
Strong analytical and problem-solving abilities, with attention to detail
Proven ability to manage complex relationships and build consensus among diverse stakeholders

A key leadership position is played by the Chief Governance Officer (CGO), who makes sure that a business follows its governance structure, complies with regulations, and upholds the highest standards of ethics, accountability, and openness. As the board of directors` and senior leadership`s strategic advisor, the CGO makes sure that governance procedures and policies successfully advance the goals, mission, and vision of the company.
Developing, implementing, and overseeing the organization’s governance framework, including policies, procedures, and best practices
Ensuring that the board of directors and its committees function effectively and fulfill their fiduciary and strategic responsibilities
Providing expert guidance on governance issues, including board structure, member roles, and decision-making processes
Monitoring adherence to corporate governance laws, regulations, and standards applicable to the organization
Collaborating with compliance and risk management teams to identify and mitigating governance-related risks
Ensuring proper documentation and reporting to regulatory authorities, where necessary
Acting as the primary liaison between the board of directors and executive management
Facilitating board meetings, ensuring the timely preparation and distribution of agendas, minutes, and reports
Advising on board composition, recruitment, onboarding, and professional development
Champion a culture of integrity, accountability, and ethical decision-making across the organization
Implementing and monitoring whistleblower policies, codes of conduct, and conflict-of-interest procedures
Fostering open communication and ensure stakeholders are well-informed about governance matters
Aligning governance strategies with organizational goals and ensure governance supports long-term sustainability
Providing insights and recommendations to the board and executive team on emerging governance trends and innovations
Leading periodic reviews of governance performance and recommend improvements
