Additional Requirements: Must have 3-5 years` experience in “Listed” insurance company.
Strong knowledge of Companies Act, IDRA, RJSC, DSE, CSE, BSEC, CDBL regulations and corporate governance practices.
Excellent drafting, communication, and interpersonal skills.§ High attention to detail and organizational skills.
Ability to manage sensitive and confidential information with discretion.
Proficiency in MS Office, secretarial compliance tools.
Ability to write English and Bengali independently.Must have very good English and Bengali typing skills.
Responsibilities & Context: Corporate Governance & Compliance
- Assist in ensuring the company complies with applicable corporate laws, regulations, and internal policies (e.g., Companies Act, IDRA regulations, stock exchange requirements, CDBL rules etc.)
- Maintain up-to-date statutory registers and records in accordance with applicable legal requirements.
- Ensure timely filing of returns and forms with regulatory authorities (IDRA, RJSC, DSE, CSE, BSEC, CDBL etc.).
- Monitor changes in relevant legislation and the regulatory environment and advise management accordingly.
Board & Committee Support
- Organize and coordinate board, committee, and general meetings (AGM/EGM), including: (a) Drafting agendas (b) Preparing and distributing board papers (c) Drafting minutes of meetings
- Ensure board resolutions are properly drafted, approved, and implemented.
- Maintain records of board and committee decisions and ensure timely follow-ups.
Secretarial Duties
- Support the Company Secretary in managing all secretarial responsibilities for the company and its subsidiaries (if any).
- Draft and review company policies and charters in line with governance best practices.
- Handle correspondence with directors, regulators, and other stakeholders.
Disclosures & Filings
- Ensure accurate and timely disclosures as required under applicable laws (e.g., insider trading disclosures, director disclosures, shareholding patterns).
- Assist in preparing annual reports, including the Director’s Report, Corporate Governance Report, and other related documents.
Liaison & Communication
- Coordinate with regulators, legal counsel, and external consultants as needed.
- Act as a point of contact for shareholders and handle investor queries in coordination with the investor relations team.
