Job Context:
∎ The position will be responsible to provide guidance to the management how the organization should be directed, managed or controlled which will ensure that the company complies with legal and regulatory requirements.
∎ The incumbent will confirm that organization complies with relevant legislation and regulation, and keeps Management informed of their legal responsibilities. He will be liable on company legal documents, and responsible to ensure that the company and its directors operate within the law in collaboration with shareholders confirming that dividends are paid and to maintain company records, such as lists of directors, shareholders annual accounts and also to advice the management in terms of investment issue based on SWOT analysis.
Job Responsibilities:
∎ Assist the BOD to take decision in respect of shareholders as well as the company’s benefit.
∎ Organize, arrange and prepare agendas for Board Meetings and Annual General Meeting and taking the minutes of the Board according to their advice.
∎ To ensure that meetings such as the Annual General Meeting comply with the organization's governing document and its procedures.
∎ Providing legal, financial and/or strategic advice during and outside of meetings.
∎ Identifying and monitoring risks to business performance and provide detailed information with necessary support/ advice to the BOD.
∎ Convening and conducting of Board of Directors Meetings, General Meetings and different Committee meetings in compliance with rules, regulations.
∎ Maintenance of all Statutory Records and Registers as required under the provisions of Companies Act and other applicable laws.
∎ Ensure timely filing of Returns and Statements with different regulatory bodies.
∎ Providing support services to the BOD for ensuring compliance of relevant Laws, Rules and Regulations and corporate Governance towards achieving efficient management of the Company.
∎ Supervising the maintenance of Statutory Books and Registers, Documentation and Office Files in an organized way.
∎ Final cross checking in preparation and filling of returns and statements for all the listed and non-listed companies of the group.
∎ Performing to ensure the application of Company Law, BSEC Laws/Regulations/Stock Exchange Rules/RJSC Rules, Insurance Act and other related to groups requirements.
∎ Ensuring timely submission of reports in due time prescribed in Listing Rules and BSEC Guidelines.
∎ Ensuring to comply with statutory requirements/ compliance for efficient administration of Listed Public Limited Company.
∎ Contribution to the discussions about the Legal, Governance, Accounting and Tax Implications of the policies proposed in the meetings, monitoring changes in relevant regulatory environment.
∎ Responsible for publication of Annual Report of listed companies complying with the guidelines of regulators.
∎ Ensuring Bangladesh Secretarial Standards (BSS-1 & 2) in performing secretarial work of the Group.
∎ Correspondence with the queries of DSE, CSE & BSEC regarding the company matters relating to Capital Market.
∎ Supervising ERC, IRC related work in BOI & CCIE.
∎ Communicate with Senior Officials of different Ministries of GOB.
∎ Drafting of various legal documents and manage all legal issues in favor of the company.
∎ Keeping up to date with any regulatory or statutory changes and policies that might affect the organization.
∎ Liaising with potential shareholders & others stakeholders, Stock Exchange, BSEC, IDRA, Bangladesh Bank, RJSC on different issues.
∎ Performing all the procedures relating to Investment in FDR, Treasury Bond, Pvt. Bond, Share etc
∎ To maintain records including past and present office bearers.
∎ To ensure that publications such as annual reports and accounts, and their dissemination, comply with the organization's governing document and statutory requirements.
∎ To keep under review all legislative, regulatory and governance developments that might affect decision making or the organization's operations.
