Education:

LL.B. from a recognized university.

LL.M. preferred.

Enrollment with the Bangladesh Bar Council will be an added advantage.

Experience working with leading real estate developers in Bangladesh is preferred.

• RAJUK rules and approval processes.

• Companies Act, Contract Act, Transfer of Property Act, Registration Act, Stamp Act, and Labour Act.

• Real estate documentation and land due diligence.

• Litigation management.

• Regulatory compliance and government liaison.



Responsibilities & Context:

1. Land Acquisition & Due Diligence

  • Identify and evaluate land acquisition opportunities.

  • Conduct comprehensive legal due diligence before land acquisition.

  • Verify ownership, title, possession, encumbrances, and succession of land.

  • Examine and verify:

o    CS, SA, RS, BS/BRS Khatian

o    Mouza Maps

o    Mutation Records (Namjari)

o    Porcha

o    Land Development Tax Receipts

o    Chain of Title Documents

o    Non-Encumbrance Status

  • Coordinate with survey teams for physical verification of land.

  • Assess legal risks relating to disputed or vested properties.


2. Legal Documentation

  • Draft, review, negotiate, and vet:

    • Deed of Agreement

    • Agreement for Sale

    • Sale Deed

    • Power of Attorney

    • Joint Venture (JV) Agreement

    • Development Agreement

    • Memorandum of Understanding (MoU)

    • Lease Agreement

    • Vendor & Contractor Agreements

    • Consultancy Agreements

    • Employment-related legal documents

    • Legal Notices and Replies

  • Ensure all agreements adequately protect the company's interests.


3. Registration & Land Management

  • Supervise registration of deeds at the Sub-Registrar Office.

  • Manage mutation (Namjari) processes.

  • Coordinate land record corrections where necessary.

  • Ensure timely payment of land development tax.

  • Process partition, inheritance, and succession-related documentation.

  • Maintain complete legal records and document repositories.


4. Regulatory Liaison

Coordinate with:

  • RAJUK

  • Ministry of Housing & Public Works

  • Deputy Commissioner's (DC) Office

  • Assistant Commissioner's (Land) Office

  • Land Registry Offices

  • City Corporations

  • Municipal Authorities

  • National Board of Revenue (NBR)

  • Utility service providers

  • Other government and regulatory agencies

Obtain and monitor:

  • Layout approvals

  • Building plan approvals

  • Land use clearances

  • Development permissions

  • Registration certificates

  • Tax-related compliance


5. Litigation Management

  • Handle civil, criminal, writ, land, commercial, and consumer litigation.

  • Coordinate with panel lawyers and external legal advisors.

  • Prepare legal briefs and supporting documents.

  • Attend courts, tribunals, and government hearings as required.

  • Monitor case status and ensure timely follow-up.

  • Maintain litigation databases and periodic reports.


6. Corporate Legal Affairs

  • Provide legal opinions on business decisions.

  • Advise management on legal and regulatory risks.

  • Review company policies from a legal perspective.

  • Support company secretarial matters when required.

  • Ensure compliance with the Companies Act and other applicable laws.


7. Compliance & Risk Management

Ensure compliance with:

  • Registration Act

  • Transfer of Property Act

  • Stamp Act

  • Companies Act

  • Contract Act

  • Land Registration Rules

  • Building Construction Rules

  • Bangladesh National Building Code (BNBC)

  • Environmental regulations

  • Labour laws

  • VAT and Tax regulations relevant to real estate

Develop legal risk mitigation strategies and ensure implementation across projects.


8. Project Legal Support

  • Support project teams during land acquisition and project development.

  • Review customer booking forms and sale documentation.

  • Resolve legal issues affecting project implementation.

  • Assist the Sales team with customer documentation and registrations.


9. Stakeholder Management

  • Maintain strong relationships with landowners, government officials, lawyers, consultants, and regulatory authorities.

  • Negotiate settlements and resolve land disputes amicably whenever possible.


10. Leadership & Administration

  • Lead and supervise the Legal & Land Department.

  • Develop departmental SOPs and compliance procedures.

  • Mentor Legal Officers, Executives, and Land Officers.

  • Monitor departmental KPIs and operational efficiency.

  • Prepare monthly legal and land acquisition reports for management.
