Responsibilities & Context:
∎ Ensure the organization's activities comply with all relevant laws, regulations, and policies.
∎ Identify potential legal risks and develop strategies to mitigate them.
∎ Assist in the development and implementation of company policies and procedures to ensure legal compliance and risk mitigation.
∎ Manage and resolve legal disputes, including litigation and alternative dispute resolution methods.
∎ Provide guidance on corporate governance matters, including board meetings, corporate filings, and compliance with corporate governance standards.
∎ Manage the organization's intellectual property portfolio, including trademarks, patents, and copyrights.
∎ Stay up to date on relevant laws and regulations affecting the organization and advise management on compliance requirements.
∎ Conduct training sessions for employees on legal issues, compliance, and risk management.
∎ Manage relationships with external legal counsel and oversee their work on behalf of the organization.
∎ Conduct legal due diligence for mergers, acquisitions, and other corporate transactions.
∎ Ensure compliance with data privacy laws and regulations.
∎ Finalizing drafts or petitions and taking steps consulting with Legal Team.
∎ Coordinate external lawyers to fill cases in favor of the Company as per business requirements.
∎ Agreement drafting, vetting and scrutinizing agreements and various legal documents.
∎ Create awareness regarding due diligence of the Agreement.
∎ Manage legal functions including determining objectives, designing & implementing systems, policies & procedures to facilitate internal control, ensuring all legal activities are in compliance with the Law of the Land.
∎ Handle all legal disputes & litigation, coordinate with the external counsels, assist in drafting of petitions, writs, suits, appear in the courts on behalf of the company and undertake the strategy aspects of litigation.
∎ Maintain liaison with external authorities like Government & Non-Government authorities.
∎ Perform general legal services for the company including direction on corporate and commercial issues, contract negotiation, documentation and other related issues.
∎ Provide timely and relevant management information and ensure reporting within deadline on regular and on demand basis.
∎ To ensure internal and external regulatory compliance as per guidelines.
∎ Any other task assigned by Management.
∎ Enrolment as an Advocate of the Supreme Court of Bangladesh
∎ At least 5 year(s) in a Local Group of companies as Lawyer.
∎ Strong analytical and problem-solving skills, with the ability to interpret complex legal issues and provide practical solutions.
∎ Excellent written and verbal communication skills, with the ability to communicate legal concepts clearly and effectively to non-legal stakeholders.
∎ Meticulous attention to detail, with the ability to review and draft legal documents accurately.
∎ Proven ability to lead and develop a team of legal professionals, fostering a collaborative and supportive work environment.
