Responsibilities & Context:

Core Responsibilities:

Providing Legal Advice:  

  • Offer strategic and practical legal advice to senior management and the board of directors on a wide range of issues affecting the company's assets, human resources along with operations.  

  • Interpret and advise on the company's policies, procedures, and guidelines in accordance with the law.  

  • Provide opinion on various legal matters as they arise.

Ensuring Compliance: 

  •  Advise appropriate authorities of the company and monitor with all applicable laws, regulations, and statutory requirements in Bangladesh, including the Companies Act, labour laws, tax regulations, environmental laws, and industry-specific legislation.  

  • Develop and implement legal policies, procedures, and risk management strategies to minimize legal risks.  

  • Stay updated on changes in laws and regulations relevant to the company's industry and ensure timely adaptation and compliance. 

Contract Management:  

  • Draft, review, negotiate, and manage a wide variety of commercial contracts, agreements, and other legal documents between our company and any other local company or overseas companies or individuals.  

  • Ensure that contracts are legally sound and protect the company's interests.

Litigation and Dispute Resolution: 

  •  Manage litigation, dispute resolution processes, and regulatory investigations.  

  • Represent the company in legal proceedings, negotiations, and interactions with external legal counsel.  

  • Oversee the work of external lawyers when necessary. 

Corporate Governance:  

  • Oversee corporate governance matters and ensure compliance with corporate governance standards.  

  • Advise on ethical business practices.  

  • Maintain clarity between the roles of the board and management. 

Intellectual Property Protection:  

  • Advise on matters related to trademarks, patents, copyrights, and other intellectual property rights.  

  • Take necessary steps to protect the company's IP.    

Stakeholder Management:

  •   Manage relationships with regulators, government authorities, and external legal counsel.   

Corporate Transactions:  

  • Provide legal counsel on mergers, acquisitions, joint ventures, and other strategic transactions.  

  • Conduct due diligence and ensure legal compliance in such transactions.   

Developing Legal Resources:  

  • Potentially lead and manage an internal legal team, ensuring effective legal support across       departments (depending on the company size).  

  • Develop and implement key performance metrics for the legal function. 

  • Identify and implement technology solutions for the legal department.
