Responsibilities & Context:

Job Context

We are seeking a dedicated Legal and Compliance Officer to ensure our company operates in full compliance with all national and international laws, regulations, and internal policies. You will be the cornerstone of our legal and ethical framework, providing expert guidance to management and staff, mitigating risks, and safeguarding the company's reputation.

Key Responsibilities:

Legal:

  • Draft, review, vet, and negotiate a wide range of contracts and agreements, including vendor contracts, client agreements, non-disclosure agreements (NDAs), and service level agreements (SLAs).

  • Provide sound legal advice and opinions to the management on various business issues, corporate matters, and potential risks.

  • Manage and represent the company in legal disputes, litigation, and liaise with external lawyers and regulatory bodies.

  • Ensure the company's intellectual property (trademarks, copyrights) is protected.

  • Handle company secretarial work and ensure compliance with the Registrar of Joint Stock Companies and Firms (RJSC) requirements.

  • Keep abreast of new and existing legislation and case law relevant to the company's operations.

Compliance:

  • Develop, implement, and oversee the company’s compliance program, policies, and procedures.

  • Conduct regular compliance risk assessments and internal audits to identify areas of improvement.

  • Ensure adherence to the Bangladesh Labour Act, Bangladesh Bank guidelines (if applicable), VAT & Tax laws, Company Act, and other relevant regulatory frameworks.

  • Develop and deliver compliance training programs to employees to foster a culture of compliance.

  • Monitor changes in the regulatory landscape and proactively advise management on necessary actions.

  • Prepare and submit compliance reports to the Board of Directors and senior management.

  • Act as the point of contact for regulatory inquiries and inspection.
