Job Responsibilities:
∎ Responsible to take Name Clearance, Drafting MOA & AOA & Registration from RJSC.
∎ Responsible for all company secretarial functions, duties, and responsibilities. Organizing, preparing agendas for, and taking minutes of board meetings.
∎ Responsible to arrange Annual General Meeting Notice, Minutes.
∎ Responsible to arrange Extraordinary General meetings, doing amendments & withdraw certified copies.
∎ Responsible to share transfer processes & procedures.
∎ Responsible for filing Annual Return, Return of Allotment & other Returns withdraw certified copies.
∎ Ensuring the company complies with standard legal practice and maintains standards of corporate governance.
∎ Providing advice to colleagues and senior managers on administrative matters. Maintaining statutory books, registers of members, directors.
∎ Responsible for liaison external Govt. Authorities BEPZA, BEZA, BIDA, BTMC, Customs & others.
∎ Updating and maintaining all licenses and Companies house records.
∎ Liaising with external regulators, solicitors and auditors.
∎ Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the committee.
∎ Maintain statutory books, including registers of members, directors, and secretaries.
∎ Handle correspondence, collate information, write reports and communicate decisions to relevant company stakeholders.
∎ Liaise with external regulators and advisers such as lawyers and auditors.
∎ Implement processes or systems to ensure good management of the organization.
∎ Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
∎ Pay dividends to shareholders and manage share option schemes opted by various shareholders.
∎ Take an active role and provide valuable input to the management decisions related to sharing issues, mergers, and takeovers.
∎ Monitor the administration of the company’s pension scheme.
∎ Manage contractual agreements with suppliers and customers.
∎ Manage the office space and deal with personnel administration and company/staff insurance policies.
∎ Drive PR activities related to aspects of financial management

Additional Requirements:
∎ Age 35 to 45 years
∎ Both males and females are allowed to apply
∎ Skills Required: Ability to communicate effectively, Presentation skill, Secretarial tasks, Strong communication skills
