Responsibilities & Context:
  • Assist the Company Secretary in managing all company secretarial and corporate governance matters.

  • Coordinate and support the preparation, scheduling, and conduct of Board Meetings, Board Committee Meetings, Annual General Meetings (AGM), Extraordinary General Meetings (EGM) and other statutory meetings.

  • Prepare agendas, notices, meeting papers, minutes, resolutions, and action-point trackers.

  • Maintain accurate and up-to-date statutory registers, corporate records, minutes books, share records, and other secretarial documents.

  • Assist in preparation and submission of statutory returns, forms, disclosures, and regulatory filings with relevant authorities.

  • Ensure timely compliance with applicable provisions of the Companies Act, securities/capital market regulations, and other relevant laws and regulations.

  • Assist with incorporation, alteration, restructuring, changes in directors/shareholders, share transfers, allotments, capital changes, and other corporate actions.

  • Support the Company Secretary in maintaining records relating to directors, shareholders, beneficial ownership, related-party transactions, and other governance matters.

  • Monitor statutory and regulatory compliance calendars and ensure timely completion of required filings and submissions.

  • Assist in drafting and reviewing Board resolutions, shareholder resolutions, notices, certificates, correspondence, and other corporate documents.

  • Coordinate with directors, shareholders, senior management, legal advisors, auditors, regulators, banks, and other external stakeholders as required.

  • Provide support for corporate governance initiatives, compliance reviews, and implementation of Board decisions.

  • Maintain confidentiality of sensitive corporate, Board, shareholder, and management information.

  • Conduct research on changes in corporate laws, regulations, governance practices, and regulatory requirements and advise the Company Secretary accordingly.

  • Maintain proper documentation and records for audits, due diligence, regulatory inspections, and other corporate requirements.

  • Perform any other company secretarial, governance, compliance, or corporate affairs responsibilities assigned by management.
