Experience:
Assist the Company Secretary in managing all company secretarial and corporate governance matters.
Coordinate and support the preparation, scheduling, and conduct of Board Meetings, Board Committee Meetings, Annual General Meetings (AGM), Extraordinary General Meetings (EGM) and other statutory meetings.
Prepare agendas, notices, meeting papers, minutes, resolutions, and action-point trackers.
Maintain accurate and up-to-date statutory registers, corporate records, minutes books, share records, and other secretarial documents.
Assist in preparation and submission of statutory returns, forms, disclosures, and regulatory filings with relevant authorities.
Ensure timely compliance with applicable provisions of the Companies Act, securities/capital market regulations, and other relevant laws and regulations.
Assist with incorporation, alteration, restructuring, changes in directors/shareholders, share transfers, allotments, capital changes, and other corporate actions.
Support the Company Secretary in maintaining records relating to directors, shareholders, beneficial ownership, related-party transactions, and other governance matters.
Monitor statutory and regulatory compliance calendars and ensure timely completion of required filings and submissions.
Assist in drafting and reviewing Board resolutions, shareholder resolutions, notices, certificates, correspondence, and other corporate documents.
Coordinate with directors, shareholders, senior management, legal advisors, auditors, regulators, banks, and other external stakeholders as required.
Provide support for corporate governance initiatives, compliance reviews, and implementation of Board decisions.
Maintain confidentiality of sensitive corporate, Board, shareholder, and management information.
Conduct research on changes in corporate laws, regulations, governance practices, and regulatory requirements and advise the Company Secretary accordingly.
Maintain proper documentation and records for audits, due diligence, regulatory inspections, and other corporate requirements.
Perform any other company secretarial, governance, compliance, or corporate affairs responsibilities assigned by management.
Alternate Saturday Weekend.
