Job Summary

TradeUp BD is seeking a highly experienced and visionary Head of Legal & Corporate Affairs who will act as a Legal + Business Leader for the organization.

This role goes beyond traditional legal execution and focuses on building a full corporate legal ecosystem, ensuring regulatory compliance, supporting business expansion, and contributing directly to revenue growth.

The selected candidate will play a key role in positioning TradeUp BD as a leading business consultancy firm in Bangladesh with global presence.

* Company formation in UK, USA & other jurisdictions

* Offshore structuring & cross-border advisory

* Compliance & maintenance of foreign entities

3. Corporate Compliance & Governance

* RJSC filings, Annual Returns & compliance

* AGM / EGM management

* Corporate governance framework development

* Board structuring & advisory

* SOP & compliance policy development

4. Capital, Share & Ownership Structuring

* Authorized & paid-up capital management

* Share transfer & restructuring

* Equity structuring strategy

5. Licensing & Regulatory Affairs

* Trade License, DoT License

* Recruiting License (BMET)

Requirements (Mandatory)

* LLB & LLM (Both Required)

* Enrollment with Bangladesh Bar Council (Active License Mandatory)

* 3–5 years of experience in corporate/legal practice

* Strong knowledge of RJSC, NBR, and regulatory frameworks

* Proven experience in company registration, licensing & compliance

Preferred Qualifications

* Income Tax Practitioner (ITP) Certification (Highly Preferred)

* Experience in consultancy / corporate advisory firm

* Exposure to foreign company setup & international clients

* Leadership & business growth experience
