Position Overview

The Corporate Lawyer will be responsible for providing comprehensive legal support to Otithee.com and its management on corporate, commercial, contractual, regulatory, employment and business-related legal matters.

The ideal candidate should have strong knowledge of corporate and commercial law, excellent drafting and negotiation skills, sound business judgment, and the ability to identify and mitigate legal risks while supporting the company's business objectives.

Key Responsibilities

  • Provide legal advice and guidance to management on corporate and commercial matters.

  • Draft, review, negotiate and finalize agreements, contracts, MoUs, NDAs, vendor agreements, service agreements, partnership agreements, employment-related documents, and other legal instruments.

  • Review business proposals, commercial arrangements and transactions from a legal and risk-management perspective.

  • Ensure compliance with applicable laws, regulations, rules and government requirements in Bangladesh.

  • Handle corporate documentation, including incorporation-related matters, board resolutions, notices, minutes and statutory records.

  • Monitor changes in relevant laws, regulations, policies and regulatory requirements affecting the company's operations.

  • Liaise with government authorities, regulatory bodies, external legal counsel and other relevant stakeholders when required.

  • Provide legal support for hotel, resort, travel, tourism, OTA, technology, vendor and partnership-related business activities.

  • Assist in managing disputes, claims, notices and litigation matters in coordination with external legal counsel where necessary.

  • Identify potential legal risks and recommend practical measures to minimize exposure.

  • Review company policies and internal procedures from a legal and compliance perspective.

  • Provide legal guidance on employment and HR-related matters, including employment contracts, disciplinary issues, and workplace policies.

  • Ensure proper maintenance and confidentiality of legal documents and records.

  • Support due diligence activities for new partnerships, investments, vendors, properties and business opportunities.

  • Prepare legal opinions, notices, responses and reports as required by management.

  • Perform any other legal and compliance-related responsibilities assigned by management.
