Core Requirements

  • Experience: 3+ years in corporate legal drafting, contract negotiation, and compliance (VC, private equity, or corporate law firm background preferred).
  • Must hold a valid Bangladesh Bar Council Certificate of Enrollment.
  • Knowledge: Familiarity with international corporate secretarial processes (especially Singapore ACRA requirements/ USA incorporations).
  • Skills: Strong contract drafting, risk assessment, organizational capabilities for tracking legal risk pipelines, and stakeholder management skills, excellent interpersonal and communication skills with a proven ability to collaborate seamlessly across cross-functional teams and executive leadership.


Responsibilities & Context:
  • Legal Drafting & Vetting: Draft and negotiate various types of commercial agreements, including NDAs, Loan Agreements, Master Agreements, SLAs, etc.
  • Vetting & Approvals: Secure formal legal vetting and approval from the Head of Legal, ensuring Management’s consent is endorsed prior to execution of the Agreement.
  • Legal Templates: Build standardized agreement templates and vetting checklists to speed up future deal closings.
  • Risk & Jurisdictional Assessment: Evaluate regulatory risks, jurisdictional compliance, and optimal dispute resolution/arbitration clauses across all commercial/business agreements.
  • Cross-Functional Alignment: Coordinate directly with relevant departments (Technical, Operations, HR, etc.) and key stakeholders to lead alignment meetings whenever interdepartmental legal or operational issues arise.
  • Management & Internal Agreements: Prepare and draft tailored legal agreements, resolutions, and documentation for management as and when required.
  • Agreement Execution: Manage end-to-end execution of agreements with internal teams, stakeholders, and external counterparts.
  • Portfolio Legal Support & Issue Tracking: Address weekly legal issues across portfolio companies. Prepare, manage, and regularly update a centralized Legal Issue Tracker for DIVC and all portfolio entities to monitor share issuance, disputes, regulatory deadlines, and compliance deliverables.
  • Distributor & Vendor Management: Assess credentials and perform background checks, due diligence on distributors, vendors, and agents; draft and execute Distribution Agreements.
  • Singapore Entity Governance: Serve as the primary liaison with Singapore-based Corporate Service Providers (CSPs) to manage secretarial filings, statutory returns, resolutions, and ACRA compliance.
  • Corporate & Secretarial Compliance: Supervise annual filings and statutory updates, including but not limited to trade license renewals, regulatory certifications, share issuances to DIVC, Form XII, and Schedule X updates, across all DIVC SBUs and portfolio companies. Supervise, assist and coordinate in acquisition of the Local Subsidiary Companies by the Holding companies of our Portfolio Startups of SBU’s of DIVC.
  • Regulatory Authority Liaison: Ensure strict compliance and ongoing alignment with the Registrar of Joint Stock Companies and Firms (RJSC) and all other applicable governing bodies for every portfolio entity.
  • Dispute & Litigation Management: Act as the primary/secondary liaison between internal/external legal counsel, litigation specialists, and enforcement teams to manage and resolve high-severity disputes, ongoing court cases, and active litigation across portfolio entities

Compliance

  • Compliance & Certifications: Assess prerequisites and prepare comprehensive documentation for technical and regulatory certifications across portfolio startups and SBUs, including but not limited to ISO, GDPR, Cyber Essentials Plus, OWASP, SOC 2, and Essential Eight.
  • IP & Trademark Coordination: Research and oversee trademark searches, class filings, domain protection and communicate with relevant trademark offices for portfolio brands
  • Intellectual Property Management: Evaluate portfolio IP assets and execute international protection strategies, including provisional/non-provisional patents, PCT filings, IPOS registrations, Madrid Protocol extensions, and multi-country national phase entries.
  • Global Mobility & Employment Passes: Assess cross-border staffing and visa requirements to draft, submit, and manage Employment Pass applications with relevant immigration authorities.
