Educational Requirements:
∎ MBA/ M Com. from recognized University.
∎ Qualified Chartered Secretary is desirable.
∎ Professional Qualification: Preference will be given to the Members of any of the following Professional Body -
∎ The Institute of Chartered Accountants of Bangladesh (ICAB),
∎ The Institute of Cost & Management Accountants of Bangladesh (ICMAB)
∎ The Institute of Chartered Secretaries of Bangladesh (ICSB).

Experience Requirements:
∎ At least 8 year(s)

Job Responsibilities:
∎ To draft and serve the notice of the various meeting of the Board of Directors, Annual General Meeting and all other meeting held in the company.
∎ To prepare minutes of the meeting of the Board of Directors, Annual General Meeting, Extra ordinary general meeting and any other meeting held in the company.
∎ To ensure all kinds of corporate compliances including reporting time to time as per RJSC, BB, BSEC, DSE, CSE, CDBL and other Regulatory Authorities.
∎ Should be well conversant with the compliance of the Rules and regulation of Register of the Joint Stock of the Companies & Firms.
∎ Should have capacity to prepare the various papers to be submitted to the Register of the Joint Stock of the companies & Firms namely Schedule "X", Form "VII" share transfer instrument, etc.
∎ To be well conversant with the Rules and regulations namely Companies Act, Securities Exchange Commission Rules & Regulation, Non-Bank Financial Institute Laws for calling the meeting of the Board of Directors, Annual General Meeting and all the meeting held in the company.
∎ To circulate office circular/order regarding the change of BoDs to BB, BSEC, DSE, CSE, all Banks, NBFIs, and Insurance Companies.
∎ To prepare Annual Report of the Company.
∎ To reply all queries as required by Bangladesh Bank, BSEC, DSE, CSE and other regulatory Authorities.
∎ To maintain Liaison with Board of Directors, Shareholder, Vendors, Auditors and other Stakeholders.
∎ To manage the corporate entitlements with CDBL Software as on Record Date.
∎ To distribute and credit Dividend (Cash/Bonus) through registered mail and/or BEFTN and CDS
∎ Should have the capacity to lead/Supervise the Team of a large number of staff/subordinate in the share Department.
∎ Must have experience to work in the IT environment.

Additional Requirements:
∎ Age 35 to 50 years
∎ Should have competency on computer based Accounting System.
∎ Planning, complex problem solution skills and analytical ability.
∎ Capable of multitasking with strong communication and presentation skills.
∎ Willingness to work beyond general business hours under extreme pressure.
∎ Dedicated and hardworking with team spirit and a person of integrity and professionalism.
∎ Strong leadership skills focusing operation management with excellent multidisciplinary knowledge.
∎ Should have knowledge on rules, regulations of the Government, Bangladesh Bank and other related regulatory bodies.
∎ Experience Requirements:
∎ Must have 8 years' experience in Bank/NBFI or in reputed organization of which practical experience for at least 5 years in the Secretariat Department.
∎ Experience in the Bank and Financial Institution will be given preference.
∎ Professional Qualification will be relaxed for the exceptionally experienced persons.
