Education:
  • Bachelor’s degree in Law, Business Administration, Finance, Accounting, or a related discipline from a reputed university.

  • Professional qualification such as Chartered Secretary (CS) from the Institute of Chartered Secretaries of Bangladesh (ICSB) will be an added advantage.

  • Candidates with relevant professional qualifications in Corporate Governance, Company Law, or Compliance will be preferred.

Additional Requirements:
  • Age At least 28 years
  • Minimum 4–6 years of relevant professional experience in Corporate Affairs, Company Secretariat, Corporate Governance, Legal Compliance, or related functions.

  • Experience in Board and shareholder matters, RJSC compliance, statutory filings, corporate documentation, and governance processes is preferred.

  • Prior experience in a multinational company, joint venture, power/energy, infrastructure, or other corporate environment will be an added advantage.

  • Candidates with experience in coordinating with Board members, shareholders, JV partners, regulatory authorities, and external legal advisers will be preferred.

  • Strong exposure to Companies Act, RJSC requirements, corporate governance, and statutory compliance in Bangladesh is desirable.



Responsibilities & Context:

Job Context

Responsible for supporting corporate governance, company secretarial activities, Board and shareholder matters, statutory compliance, and coordination with Joint Venture (JV) partners and regulatory authorities. The role ensures proper maintenance of corporate records, timely completion of statutory requirements, effective coordination of Board and shareholder meetings, and smooth execution of corporate governance processes.

Key Responsibilities

Corporate Governance & Secretariat:

  • Support the implementation of corporate governance policies, procedures, and statutory requirements.

  • Coordinate preparation and circulation of Board of Directors and shareholder meeting agendas, notices, presentations, and supporting documents.

  • Prepare and maintain accurate minutes of Board, shareholder, and committee meetings.

  • Maintain records of Board resolutions, shareholder resolutions, approvals, and action points.

  • Follow up with relevant departments to ensure timely implementation of Board and management decisions.

Statutory & Regulatory Compliance:

  • Assist in ensuring compliance with applicable provisions of the Companies Act, RJSC requirements, and other relevant corporate regulations.

  • Maintain statutory registers, corporate records, certificates, resolutions, and other required documentation.

  • Coordinate preparation and submission of statutory filings, returns, notices, and other corporate documents within required timelines.

  • Monitor changes in applicable corporate laws, regulations, and compliance requirements and communicate relevant updates internally.

JV & Shareholder Coordination:

  • Coordinate formal communication and documentation between the company, JV partners, shareholders, and Board members.

  • Maintain records relating to shareholder interests, shareholding structures, capital contributions, and corporate approvals.

  • Support preparation of JV-related documents, correspondence, resolutions, and reporting requirements.

  • Coordinate with Finance, Legal, Project, and other departments on matters requiring JV/shareholder approval.

Board & Management Support:

  • Prepare Board papers, management presentations, briefing notes, and supporting schedules in coordination with relevant departments.

  • Maintain a structured database of Board decisions, pending actions, approvals, and compliance matters.

  • Coordinate Board and committee meeting logistics and ensure timely circulation of relevant documents.

  • Maintain confidentiality of sensitive corporate, shareholder, Board, and strategic information.

Legal & Regulatory Coordination:

  • Coordinate with external legal counsel, consultants, government authorities, and regulatory bodies on corporate matters.

  • Assist in maintaining and organizing corporate agreements, powers of attorney, legal notices, certificates, and other important documents.

  • Support the Legal function in tracking corporate approvals, contractual matters, and regulatory requirements.

Documentation & Records Management

  • Maintain an organized and up-to-date repository of corporate documents and records.

  • Ensure proper version control, authorization, and secure storage of Board and corporate documents.

  • Develop and maintain compliance calendars for statutory filings, Board meetings, license renewals, and other corporate obligations.

Cross-Functional Coordination:

  • Coordinate with Accounts & Finance on financial information required for Board and shareholder reporting.

  • Work closely with HR, Legal, Finance, Commercial, Project, and other departments to obtain information required for corporate reporting and compliance.

  • Support management in ensuring timely completion of corporate and governance-related actions.
