Experience:
BBA and/or MBA in Management, Business Administration, or a relevant discipline from a recognized university.
Partly qualified from the Institute of Chartered Secretaries of Bangladesh (ICSB) will be given preference.
Minimum 4–5 years of relevant experience in Company Secretariat, Corporate Governance, or Regulatory Compliance.
Experience in a listed company or large corporate group will be preferred.
A leading group of companies is seeking a competent and detail-oriented professional for the position of Assistant Manager – Company Secretariat. The position will support corporate governance, Board administration, and statutory compliance while coordinating with regulatory authorities and key stakeholders.
Coordinate meetings of the Board of Directors, Executive Committee, Annual General Meeting (AGM), and Extraordinary General Meeting (EGM).
Prepare and circulate meeting notices, agendas, Board papers, attendance records, minutes, resolutions, and action trackers.
Manage AGM and EGM planning, documentation, logistics, shareholder communication, and stakeholder coordination.
Prepare and submit required correspondence, disclosures, returns, and reports to BSEC, DSE, CSE, and RJSC within statutory deadlines.
Support IPO, listing, and post-listing compliance activities by coordinating with regulators, advisers, auditors, and relevant internal functions.
Maintain statutory registers, corporate records, resolutions, certificates, minutes, and other company secretarial documents.
Monitor the regulatory compliance calendar and follow up with concerned stakeholders to prevent delays or non-compliance.
Coordinate with Board members, senior management, legal advisers, auditors, regulators, and shareholders.
Support internal and external audits, regulatory inspections, and due diligence by providing accurate statutory records and documents.
Recommend improvements to corporate governance and company secretarial processes.
