∎ Consultancy Services for the Enhancement of Statutory and Strategic Provisions of Shobujer Ovijan Foundation
∎ 1. Background
∎ Shobujer Ovijan Foundation (SOF), Bangladesh, is a non-profit organization dedicated to promoting sustainable development, gender equality, and social justice. SOF works in partnership with local and international organizations to implement programs that empower marginalized communities, particularly women and youth, to achieve their full potential.
∎ The Strengthening Women’s Organization Capacity for Championing Women’s Rights (SWOCCHAR) project, led by Save the Children International (SCI) in partnership with 10 Women-Led Organizations (WLOs), including SOF, aims to empower WLOs to champion gender equality and women’s rights. Funded by the Embassy of the Kingdom of the Netherlands (EKN), the project focuses on enhancing WLOs’ capacities through small grants, innovation funds, and technical support. Aligned with Bangladesh’s 8th Five-Year Plan and Sustainable Development Goal (SDG) 5, the project strives to promote gender equality through advocacy, policy influence, and transformative campaigns.
∎ From September to December 2024, a comprehensive Capacity Assessment was conducted using a Gender Transformative approach, identifying key areas for improvement of SOF. To address these, SOF, with support from SWOCCHAR, prioritized its immediate needs of reviewing its constitution and developing a strategic plan along with Senior Management’s Terms of Reference (ToR).
∎ 2. Objectives of the Assignment
∎ Overall Objective:
∎ To strengthen the organizational capacity of SOF by revising their constitution and developing a strategic plan that promote gender equality, diversity, and effective governance.
∎ Specific Objectives:
∎ • Revise the constitution of SOF to include clauses for the promotion of diverse representation, particularly for underrepresented gender identities, ethnic minorities, and persons with disabilities in leadership roles within governing bodies.
∎ • Develop a comprehensive strategic plan for SOF, outlining their vision, mission, core values, programmatic and management priorities, defined terms for each functional department, advocacy and networking strategies, public system strengthening, resource mobilization, organogram, and results framework with annual SMART targets.

∎ • Develop ToR for the Senior Management Team to clarify roles in alignment with gender-transformative leadership Principles and Strategic Directives of the organization
∎ 3. Scope of Work
∎ The consultant will be responsible for the following tasks:
∎ I. Constitution Review and Revision:
∎ • Conduct desk research and a participatory review to identify gaps and areas for improvement in the constitution, with a focus on diversity and inclusion, ensuring consensus among leadership.
∎ • Draft revised constitutional clauses addressing identified gaps.
∎ • Facilitate the validation of the revised constitution by governing body members. II. Strategic Plan Development and Formulation of Senior Management’s ToR:
∎ • Lead a participatory process for internal and external environment scanning to identify potential strategies for SOF, utilizing a SWOT analysis and ensuring active engagement of key internal and external stakeholders.
∎ • Draft a comprehensive strategic plan encompassing the vision, mission, core values, programmatic and management priorities, functional department roles, advocacy and networking strategies, public system strengthening approaches, resource mobilization strategy, organizational structure, ToR for the Senior Management, and a results framework with annual SMART targets, while maintaining continuous involvement of key internal stakeholders throughout the process.
∎ • Finalize the strategic plan by integrating stakeholder feedback gathered through a validation workshop.
∎ 4. Expected Deliverables & Timeline
∎ • Deliverable 1: Revised constitution of SOF by 30th March 2025.
∎ • Deliverable 2: Comprehensive Strategic Plan of SOF for the period of July 2025 to June 2028 by 22nd September 2025.
∎ • Deliverable 3: ToR for the Senior Management Team to clarify roles in alignment with gender transformative leadership Principles and Strategic Directives of the organization by 24th September.
∎ • Deliverable 4: Assignment completion report summarizing the consultancy process and outcomes by 28th September 2025.

∎ Schedule of Payments
∎ After the deduction of VAT/Income tax as per government rules, the payments will be made to the consultant through AC/Payee cheque in three instalments.
∎ First Instalment (30%): Upon submission and acceptance of the revised constitution.
∎ Second Instalment (40%): Upon submission and acceptance of the Strategic Plan and Senior management's Terms of Reference.
∎ Third Instalment (30%): Upon submission and acceptance of the assignment completion report.
∎ Schedule of Payments

9. Confidentiality

The consultant shall maintain strict confidentiality regarding all information, documents, and data provided by SOF. Any findings, reports, or deliverables shall not be shared with third parties without prior written consent from SOF.

10. Termination

Either party may terminate the contract with one month's written notice. In the event of termination, the consultant shall be compensated for work completed up to the termination date.
