Experience:
Master of Business Administration (MBA) or equivalent business degree
CS qualified
Masters in Law will get preference
Previous experience with company secretarial works & corporate affairs
Well conversant with existing company laws /rules/regulations/procedures of Securities & Exchange Commission, Joint Stock Company as well as Stock Exchanges.
Proven knowledge on rules and regulations of BSEC, DSE, CSE and other govt. authorities.
Excellent communication and presentation skills.
Strong critical thinking, analytical, and problem-solving skills.
Good interpersonal and organizational skills. Able to work under pressure
This position requires a solid knowledge and hands-on secretarial experience of the Board, Company Affairs and Regulatory affairs. The incumbent will act as a change agent to accelerate organizational development and overall transformation. It requires providing advice to the Board of Directors on corporate governance matters and compliance.
The Company Secretary ensures that all registers and records required to be held at the registered office are present, accurate and up to date of the company. The company seeks a talented and aspiring candidate who would join our team and meaningfully contribute to the efforts to reach the organization`s goal.
Job Responsibilities
Facilitate board and committee meetings, including preparation of agendas, collation of board packs, and ensuring timely distribution of relevant documents.
Maintain accurate minutes of board and committee meetings, tracking action items and follow-up on resolutions.
Maintain Companies finance, investment & other finance related Issues.
Advice the board on matters related to corporate governance, regulatory compliance, and best practices.
Ensuring compliance of Corporate Governance according to regulatory guideline or any other govt. authority.
Monitor changes in relevant legislation and regulations, ensuring the company`s compliance with statutory and regulatory requirements.
Prepare and submit necessary regulatory reports to authorities.
Conduct regular compliance audits and assessments to identify and address potential risks.
Communicate, liaison and co-ordinate effectively with different authorities IDRA, such as Bangladesh Bank, BSEC, DSE, CSE, RJSC & CDBL when required.
Provide legal advice to the board and management on matters affecting the company`s business operations & risks.
Review contracts, agreements, and legal documents to ensure compliance with applicable laws and regulations.
Collaborate with the risk management team to identify, assess, and mitigate corporate risks.
Implement risk management policies and procedures to safeguard the company`s interests.
Any other task as assigned by management.
