We are currently seeking to recruit a Company Secretary for it’s group of companies. Applications are invited from qualified and dedicated candidates for this position.
Responsibilities:
Ensure compliance with the Companies Act, Bangladesh Securities and Exchange Commission (BSEC) regulations, and other relevant laws.
Oversee the governance framework and policies for the group, ensuring each concern adheres to regulatory standards.
Facilitate the adoption of best practices in corporate governance, including board procedures, committee structures, and management practices.
Organize and participate in the arrangement of the Annual General Meeting and meetings of the Board/Committee
Organize board and shareholder meetings for all companies in the group, preparing agendas, notices, and other documentation.
Ensure timely communication with directors and shareholders regarding meetings, resolutions, and decisions.
Record minutes, maintain accurate records, and follow up on board decisions and action items.
Prepare and file statutory returns, annual reports, and other necessary documents with regulatory bodies like the Registrar of Joint Stock Companies and Firms (RJSC).
Maintain proper documentation of board resolutions, special resolutions, and statutory registers across all companies in the group.
Monitor regulatory changes and advise the board on risks or new compliance requirements that may affect the group.
Develop and oversee internal policies to mitigate compliance risks, including anti-money laundering (AML), anti-bribery, and corporate social responsibility.
Facilitate communication and operational alignment among all concerns, ensuring policies and procedures are consistent across the group.
Coordinate and support the execution of group-wide strategic initiatives, mergers, acquisitions, or restructures.
Prepare annual reports, shareholder disclosures, and other corporate communications, ensuring transparency across the group.
Liaise with external auditors, regulatory bodies, and investors, providing required disclosures and facilitating corporate reporting.
Act as a liaison between the board, shareholders, and external stakeholders, addressing inquiries and ensuring accurate information flow.
Facilitate resolutions to stakeholder or investor concerns and manage related legal or compliance issues.
Conduct training for directors and senior management on corporate governance, compliance, and fiduciary responsibilities.
Ensure that board members of subsidiaries are updated on regulatory changes, compliance requirements, and governance best practices.
Review, draft, and manage key contracts, agreements, and legal documents to safeguard group interests.
Coordinate with legal advisors to handle litigation, dispute resolution, and intellectual property management for group entities.
Maintain detailed records for each company within the group, including board minutes, resolutions, legal documents, and compliance certificates.
Ensure systematic archival of documents to meet statutory and regulatory requirements.
Any Other tasks assigned by the Managing Director.
