Experience:
Master’s degree in law, Business Administration, Finance, Accounting, Management, or a related discipline.
Professional qualifications in Corporate Governance or Compliance will be an added advantage.
Partly qualified – ICS/ICAM/ICMA is preferred.
Should have knowledge of Companies Act of Bangladesh, Corporate governance principles, Secretarial standards and practices, Regulatory filing procedures, Board governance processes, Corporate law and compliance.
Excellent organizational and planning skills, Analytical and problem-solving ability, Stakeholder management Skills.
Ability to work independently and under pressure.
1. Corporate Governance
Assist in ensuring compliance with all applicable corporate laws, regulations, and governance requirements.
Support the implementation of corporate governance policies and best practices.
Monitor regulatory changes and advise management on compliance requirements.
Ensure compliance with the company's Memorandum and Articles of Association.
2. Board & Committee Management
Coordinate Board of Directors, Shareholders, and Committee meetings.
Prepare meeting notices, agendas, and Board papers.
Record, draft, and maintain accurate minutes of meetings.
Follow up on Board resolutions and action items.
Maintain the Board calendar and statutory meeting schedules.
3. Statutory Compliance
Prepare and file statutory returns and regulatory documents within prescribed timelines.
Maintain statutory registers and company records.
Ensure timely renewal of licenses, registrations, and statutory filings.
Coordinate compliance with relevant government authorities.
4. Corporate Documentation
Draft resolutions, notices, minutes, and corporate correspondence.
Maintain corporate records, share registers, and statutory books.
Ensure secure custody of company seals, certificates, and legal documents.
Maintain document confidentiality and version control.
5. Regulatory Liaison
Coordinate with regulatory authorities regarding corporate filings and compliance matters.
Liaise with legal advisors, auditors, consultants, and government agencies.
Respond to regulatory queries and compliance inspections.
6. Shareholder Affairs
Assist in organizing Annual General Meetings (AGM) and Extraordinary General Meetings (EGM).
Manage shareholder communications and records.
Coordinate dividend-related documentation and corporate actions where applicable.
7. Legal & Contract Support
Assist in reviewing contracts, agreements, and legal documents.
Coordinate execution of legal documents.
Maintain contract registers and legal records.
Support litigation documentation when required.
8. Compliance Monitoring
Develop and maintain compliance calendars.
Track statutory deadlines.
Conduct periodic compliance reviews.
Report on compliance status to senior management.
9. Other Responsibilities
Support due diligence exercises for business transactions.
Assist in mergers, acquisitions, restructuring, and other corporate actions as required.
Perform any other duties assigned by the Company Secretary, CFO, or Management.
