Experience in handling company share-related activities is mandatory.

Job Summary
The Assistant / Deputy Secretary & Corporate Affairs will support the Company Secretary & Corporate Affairs in managing corporate secretarial functions, ensuring compliance with statutory and regulatory requirements & handling all matters related to company shares. The role requires strong coordination, documentation and follow-up skills to maintain proper corporate governance across group entities.

Reports To: Company Secretary & Corporate Affairs.
Job Location : Head Office, Dhaka.
Key Responsibilities
Assist in ensuring compliance with Companies Act, corporate laws and regulatory requirements.
Maintain statutory registers, records and filings for all group companies.
Prepare and file necessary returns, forms and documents with regulatory authorities.
Support in organizing Board Meetings, AGM/EGM and preparing minutes and resolutions.
Handle and follow up on all company share-related matters (allotment, transfer, transmission, etc.).
Maintain share registers and update ownership records accurately.
Coordinate with shareholders regarding share certificates, dividends and related queries.
Liaise with auditors, regulators and stakeholders regarding shareholding compliance.
Maintain proper documentation of corporate records, licenses and approvals.
Ensure safe custody of company documents, agreements and certificates.
Draft official letters and corporate communications.
Coordinate with internal departments and external stakeholders (legal advisors, auditors, regulators).
Follow up on compliance deadlines and ensure timely completion.
Assist in corporate restructuring, new company formation or regulatory approvals.
Assist in reviewing contracts, agreements, and legal documents.
Support in handling corporate legal matters and disputes if required.
Others work related to Capital Market.
