  • At least 5-10 years’ working experience in the share department in a public listed company is required.
  • Sound knowledge on Companies Act 1994, Listing Regulations of DSE & CSE, BSEC rules, acts and regulations.
  • Practical proficiency in MS-Word, MS-Excel, MS-PowerPoint, email, and Internet browsing is essential.
  • Must be highly skilled in speaking, writing, typing/composing through English and Bengali. 


Responsibilities & Context:
  • Ensuring compliance with all regulatory requirements pertinent to a listed company.

  • Assisting the Company Secretary in coordinating Board/Committee meetings, AGMs/EGMs, and maintaining records of meeting minutes.

  • Assisting the Company Secretary in preparing and disseminating the company`s annual report.

  • Complying to the directives, notifications, circulars, queries of BSEC, DSE, CSE, RJSC, and CDBL.

  • Publication of various report in daily newspapers as per regulatory requirements for listed company.

  • Preparation and organization of files for Board Meetings, Audit Committee Meetings, NRC Meetings, AGMs, EGMs, and other Committee Meetings, and maintaining meeting proceedings.

  • Communication with shareholders and other stakeholders.

  • Preparing and maintaining all statutory registers in accordance with The Companies Act, 1994.

  • Ensuring proper compliance with all relevant statutory and regulatory bodies.

  • Preparing, submitting, and certifying relevant returns to and from RJSC.

  • Facilitating the distribution of dividends.

  • Operating CDBL software and generated all kinds of report as required by the regulators.

  • Undertaking any additional tasks as assigned by management.
