Job Context:
∎ A Reputed Group of Companies is looking for "General Manager, Company Secretary". The Company Secretary will oversee & ensure that relevant rules and regulations of the Companies Act are complied. Right now, we are looking for smart, energetic and result oriented team members, who will share with us our pride and support our continuous growth.
∎ The "General Manager, Company Secretary" will report to the Honorable Director of the organization. The incumbent will be responsible to oversee and handle all secretarial functions of the organization. In this context, we need responsible, dedicated, self-motivated, and proactive professional who has experience to work in a public limited company as "Company Secretary".

Job Responsibilities:
∎ Manage the Secretarial compliances including Board / Shareholder Meetings, maintaining statutory records and filings under the Companies Act.
∎ Prepare agendas and papers for board meetings, committees and annual general meetings (AGMs) and follow up on action points.
∎ Ensure Board procedures are both followed and regularly reviewed and provides guidance to the management/ Directors on their responsibilities under various laws.
∎ Ensure to take meeting minutes, draft resolutions, and lodge required forms and annual returns.
∎ Filling all returns to the Registrar of Joint Stock Companies and Firms as per the Companies Act 1994, Bangladesh Securities & Exchange Commission, Stock Exchanges and Bangladesh Bank
∎ Prepare Annual Report, Compliance Reports, and other various types of reports, policies and presentation as assigned by the Board of Directors.
∎ Maintain the company's statutory books including registers of members, directors and secretaries and liaison with Govt. bodies for updating various licenses, permissions, certificates and agreements.
∎ Liaise with external regulators and advisers, such as lawyers and auditors.
∎ Deal with RJSC, BOI, NBR, MCCI and City Corporation for the various official purposes.
∎ Effectively communicating with internal and external individuals including government agencies.
∎ Avoid legal challenges by understanding current and proposed legislation; enforcing accounting regulations; recommending new procedures.
∎ Ensure logistics maintenance of all Board meetings related documentation, meeting minutes etc. as per statutory requirements.

Additional Requirements:
∎ At least 8 to 12 years' work experience as Company Secretary.
∎ Incumbent who has 5 to 7 years of work experience in a Public Limited Company as Company Secretary will get preference.
∎ Must have abreast of changes in relevant laws, rules, regulations, and advising on implications for the company.
∎ Proficient in scheduling Board meetings in a periodic manner, adhering to corporate governance stipulations and draft minutes of the meeting.
∎ Excellent communication, negotiable & leadership skill, honesty, proactive, hardworking and ability to work under pressure.
∎ Good Liaison / Communication Skill with Govt. & Non- Govt. personnel / Officers.
∎ Strong drafting skills.
∎ Good communication & interpersonal skills.
∎ Excellent writing skills both in English & Bangla. Any other assignment not detailed herein & felt conducive by Management as and when necessary.

Salary: Negotiable
