Employment Status: Full-time, Part-time

Educational Requirements:
∎ Master's Degree in Law/Finance/Banking/Accounting/Economics from any recognized university.
∎ Must be a Chartered Secretary (ACS / FCS).
∎ Preferred Professional Certification: Chartered Secretary.

Experience Requirements:
∎ 3 to 5 year(s)

Job Responsibilities:
∎ Arrange Board meeting & issue notice with the consent of the Chairman/MD of the Board and the Managing Director and also arrange General meeting of the shareholders as and when necessary.
∎ Timely circulation of notice and Board working papers to the Directors for Board meeting.
∎ Submit all statutory reports under company law to the related authorities on schedule.
∎ Recording of minutes of the Board meeting and that of the General meeting of the shareholders.
∎ Provide necessary guidance to the Board Members during discharging their duties and responsibilities as per rules and regulations of the Company & Government Regulatory Authority.
∎ Circulate the relevant part of the decisions of the Board to the respective officials of the Company for implementation and obtain compliance report & prepare to place to the Board.
∎ Keep records and documents related to Board meeting and General meetings of the shareholders as per call.
∎ Evaluate performance targets fixed by the Board from time to time & place them to the Chairman.
∎ Ensure maintenance of good corporate governance through monitoring, advice and reporting.
∎ To safeguard and protect such interests of the company at all levels viz. legal, statutory, administrative, arbitrational and in other policy matter.
∎ Prepare Memorandum and Article of Association (when directed).
∎ Prepare required forms to approve new company from government.
∎ Keep relation with employer, employees, auditor, government and non-government bodies.
∎ Arrange timely submission of statutory and regulatory reports and ensure compliance.
∎ Collect all memos from different divisions for placement to the Board as Agenda.
∎ Carry out other duties as directed by the Board from time to time.

Additional Requirements:
∎ Age 40 to 50 years
∎ Smart, energetic, intelligent candidate will be preferred.
∎ Must good command in both English and Bengali.
∎ Computer Skill at MS Word, Excel, Internet browsing
∎ Have strong skills in communication both in English and Bengali
∎ Good computer literacy especially in MS-Word, MS-Excel, MS-PowerPoint
∎ Pro-active, self-motivated and disciplined
∎ Considerable knowledge regarding state law and company law

Salary: Negotiable
