Position Overview
This Executive, position supports the Company Secretary in ensuring corporate, regulatory, and secretarial compliance by assisting in meetings, statutory reporting, capital market operations, and documentation, while managing the CDBL share management system and ensuring adherence to BSEC, DSE, CSE, and other regulatory requirements.
Key Accountabilities & Activities:
Compliance & Regulatory Support:
- Assist the Company Secretary in ensuring compliance with corporate, regulatory, and secretarial standards.
- Ensure timely compliance with listing regulations, corporate governance codes, and submission of statutory reports and compliance certificates.
Meeting & Documentation Management:
- Support coordination and documentation of Board Meetings, AGMs, and EGMs, including agenda preparation, drafting resolutions, and accurate minute-taking.
- Assist in preparing statutory reports, Directors’ Reports, and Annual Report content.
Capital Market & Share Management:
- Assist in IPO/RPO processes, capital raising activities, and RJSC return filing.
- Operate and manage the CDBL share management system, ensuring compliance with BSEC, DSE, CSE, and other regulatory bodies.
Records & Correspondence Management:
- Maintain accurate statutory records, including registers of members, directors, and secretarial filings.
- Handle corporate correspondence, organize documentation, and ensure systematic archiving of corporate and regulatory records.
Additional Support Duties:
- Perform other duties related to corporate affairs as assigned by the Company Secretary or senior management, ensuring timely execution and confidentiality in all corporate secretarial functions.
