Professional qualifications (CS, LLB, or equivalent) are highly preferable.
Strong knowledge of labor law, corporate governance, legal compliance, company act, BSEC guideline and regulatory requirements.
Ability to maintain confidentiality.
8 to 10 years` experience in public Ltd. Company.
The applicants should have experience of public listing (IPO).
Integrity and ethical conduct.
Ability to work under pressure, manage multiple priorities, and meet deadlines.
High attention to detail and strong analytical skills.
Proficiency in MS Office and legal research tools.

National Development Engineers Ltd. (NDE) initially started its journey with the name of "The Development Engineers" a partnership firm with effect from 14th February, 1981. Later on, it was re-named as "National Development Engineers Ltd." from 13th March 1982 as a private Limited Company with a view to make signifi- cant contribution in the construction sector of the country.
Today NDE has earned the reputation of one of the leading construction firm of the country, capable to under- take any kind of civil, electrical & mechanical Engineering projects which require specialized professional experi- ence with requisite technical knowledge.
We are looking for committed & performance driven candidates in our Organization in the position:
Responsibility
Organize and prepare agendas for board meetings, committees, and annual general meetings (AGMs).
Ensure accurate and timely preparation and circulation of minutes of meetings.
Advise the board on corporate governance practices and monitor compliance with the code of governance as per BSEC guideline.
Ensure compliance with all relevant statutory and regulatory requirements.
File necessary documents with regulatory authorities (e.g., RJSC, DSE CSE).
Maintain statutory books, including registers of members, directors, and secretaries.
Provide legal guidance on labor law, corporate act, securities law, BSEC regulation and related areas.
Oversee the management of the group`s corporate secretarial function across all subsidiaries.
Ensure the proper maintenance and updating of all corporate records.
Coordinate and manage shareholder relations, including communication and documentation.
Support the development and implementation of risk management policies and procedures.
Ensure the company`s activities adhere to the group`s risk management framework.
Oversee the implementation and monitoring of internal policies, such as the code of conduct, whistleblower policies, etc.
Manage ad-hoc projects and initiatives as directed by the board or senior management.
Participate in strategic planning and provide input on corporate governance matters.
