Job Context
We are looking a dynamic and responsible "Executive/Sr. Executive” in the Corporate Affairs & Board Secretariat Department for our Paramount Textile PLC which is a sister concern of Paramount Group.
Job Responsibilities
Ensure compliance with all rules and regulations related with Company Secretariat of the group.
Prepare notices, minutes and extracts of the Board meeting of all sister concerns of the group and maintain minute’s book.
Prepare Annual Report according to the Companies Acts, Rules and Regulation of Bangladesh Securities and Exchange Commission (BSEC) and Stock Exchanges.
Arrange AGM/ EGM online & physical within prescribed time.
Submit periodical report like Annual Report, Half-yearly Financial Report, and quarterly financial report, Monthly various report in time according to the regulation of the BSEC, DSE and CSE.
Prepare annual returns as well as other related activities and handling with RJSC activities in a befitting manner.
Send request and download RT14 and to block securities of directors & sponsors (as per directive of BSEC) from Central Depository Bangladesh Ltd (CDBL).
Process and submit monthly shareholding report to BSEC, DSE, CSE, and CDBL according to prescribed format.
Do all the necessary works related to Price Sensitive Information.
Maintain Compliance with BSEC, DSE, CSE, RJSC, CMSF, Banks, CDBL and other govt. authority’s requirements according to the direction of Company Secretary.
Deal with all the shareholders and meet their query.
Calculate the dividend and Provide to the shareholders.
Prepare and Maintain Share certificate, share register, share transfer register and other related documents.
Submit unclaimed dividend cash/stock reconciliation to CMEF.
Provide Tax Certificate on dividend related issue.
Any other tasks assigned by management.
Others: As per company policy.
