Educational Requirements:
∎ Additional degree holder from the Institute of Chartered Secretaries & Managers of Bangladesh (ICSMB) will be preferred.
∎ MBA/Master's Accounting & Finance, CA, Partly or full, Chartered Secretary, FCA/ACS.
Experience Requirements:
∎ 7 to 10 year(s)
∎ The applicants should have experience in the following area(s):
Company Affairs, Company Secretary, Corporate Affairs
∎ The applicants should have experience in the following business area(s):
Group of Companies, Manufacturing (FMCG), Plastic/ Polymer Industry
Job Responsibilities:
∎ Responsible to assist the Company Secretary to the secretarial work of National Polymer Industries with RJSC i.e. to submit and obtain certified copy of various statutory forms and Schedule from RJSC when require as per company Act. - 1994.
∎ Time to time assist to the company Secretary regarding price sensitive information of the company and providing the same to SEC, DSE, CSE within stipulated time and also publication there of to the newspapers.
∎ Preparing monthly, Quarterly, Half yearly and Yearly statement and subsequently submission to SEC, DSC, CSE, RJSC in time.
∎ To provide support and arrange meetings of the board including Annual General Meeting (AGM), EGM and others as applicable.
∎ Act as the focal point for the General Shareholders. Handle Investor Relations in order to maintain and improve communications between the Company and shareholders.
∎ Must be well conversant with BSEC Act & rules, RJSC, DSE, CSE, CDBL rules, IDRA Circular and Rules & Regulation.
∎ Liaise with BSEC, DSE, CSE, CDBL, RJSC, and other regulatory bodies and remain up-to-date about the statutory changes and assist the HR Business Partner and other related departments in incorporating the changes.
∎ Drafting of Notice, Agenda, Notes, Minutes of EGM, AGM, Board and all Committee Meetings of the Company and ensure implementation the decisions thereof.
∎ Preparation and filling of documents and returns in compliance of regulatory requirements.
∎ Review of Quarterly / Annual financial statement and prepare Annual Report of the Company.
∎ Ensuring the compliance of the Company and the Board of Directors with the relevant laws, rules & regulations, resolutions of both the Board and AGM's meetings including corporate governance practices.
∎ Preparing and record keeping of important documents of the Company.
∎ Implementing processes or systems to help ensure good management of the organization or compliance with legislation.
∎ Keeping up to date with regulatory or statutory changes and policies that might affect the organization.
∎ Supporting the technology used to prepare and distribute materials, conduct meetings, and facilitate other board and committee activities while being mindful of privacy and confidentiality concerns.
∎ Ensure maintenance of good corporate governance through monitoring, advice and reporting.
∎ Arrange publication in the press media and circulation of Annual Reports in a timely manner.
∎ Arrange timely submission of statutory and regulatory reports and ensure compliance.
Additional Requirements:
∎ Age 35 to 45 years
∎ Extensive company secretarial experience at a senior level.
∎ Ability to work autonomously and to adapt to changing priorities.
∎ Proven track record of developing constructive working relationships with senior executives and non-executive board members, as well as other stakeholders.
∎ Experience of working in the public sector would be desirable but is not essential.
∎ Sound in MS Office, report writing, and email communication.
∎ Well-organized, critical thinker with a strong personality.
∎ Energetic, enthusiastic, and committed.
∎ Ability to perform under pressure.
∎ Strong leadership quality.
∎ Self-motivated.
