Job Responsibilities:
∎ General Responsibilities:
∎ Ensure Group compliance with relevant local and international regulatory requirements,
∎ In conjunction with The Evercare Board's Governance, Compliance and Delegated Authority, support the Board and its committee operations in accordance with best practice and international standards for corporate governance,
∎ Regularly review and recommend changes to the company's corporate governance documents to the Evercare Compliance Manager for review,
∎ Liaise with regulatory and enforcement agencies where appropriate,
∎ Provide support, advice and guidance on compliance, risk and governance-related issues to the senior management, Evercare and the Board,
∎ Report to the Evercare Compliance Manager and Chair of the Audit Committee on business integrity matters,
∎ In conjunction with the Board and CEO, drive the creation and maintenance of a strong compliance and business integrity culture in the business, under the Direction of the Evercare Compliance Manager;
∎ Development and maintenance of risk management framework:
∎ Develop with the Evercare Compliance Manger, then implement and oversee a robust risk management strategy and program, with corporate governance and anti-corruption at its core, in line with national and international best practice and any additional Evercare investor requirements,
∎ Regularly report to Evercare, the board and shareholders on the risk management program, incidents/issues and risk mitigation measures,
∎ Conduct periodic business integrity and corporate governance focused risk assessments of the company and its operations, including any projects planned or being undertaken by the company, and report the results of the assessments to Evercare and the Board,
∎ Provide technical assistance and screening of expansion opportunities to ensure that business integrity and risk management is embedded into all decision-making,
∎ Manage the investigation of compliance and business integrity issues and report to management, Evercare, the board and shareholders as appropriate,
∎ Maintain all compliance records and registers, such as gifts and conflict registers, procurement registers and delegated and signing authorities in accordance with Evercare policies and systems,
∎ Implement the Evercare whistleblower process and protocols for both internal and external reports, in line with international best practice, with appropriate reporting and oversight to the board,
∎ Formulate with the Evercare Compliance Manager, manage and oversee the business integrity risk assessment and engagement process for all third-party engagements by the company, including but not limited to service providers, contractors, joint venture partners, and co-developers,
∎ Regulatory affairs:
∎ Oversee and continually improve documentation of licensing, permits and approvals, including rationale column in tracker should approvals be delayed,
∎ Develop with the Evercare Compliance Manager and implement terms of reference for audit of regulatory affairs, focused on risks specific to making government payments and improving record keeping,
∎ Oversee the function of the corporate secretary ensure they are arranging of all board and committee meetings, including preparing and delivering Board and Committee agendas and meeting packs in a timely manner, ensuring quorate meetings and producing quality meeting minutes and post-meeting action point lists,
∎ Oversee the maintenance of company books and statutory registers and ensure that all statutory records are updated in Bangladesh and all relevant jurisdictions,
∎ Ensure compliance with the company's memorandum and articles of association and ensure proper use and safe custody of company records, seals, etc.
∎ Additional Job Responsibilities:
∎ Strong commitment to integrity, ethics and good governance and be able to demonstrate leadership and drive in promoting integrity and corporate governance standards,
∎ Strong knowledge of, and ability to provide guidance on, Bangladeshi regulatory requirements and prior exposure to international best practice standards in the private sector on corporate governance,
∎ Detailed knowledge of anti-bribery and corruption legislation, conventions and best practice, including familiarity with the UK Bribery Act and/or the FCPA,
∎ Self-starter and motivated individual with a pro-active attitude, willing to get involved in all aspects of a new business with a clear mission,
∎ Effective and rigorous risk management skills to make well-reasoned, independent and transparent decisions with quick turnaround expectations.

Additional Requirements:
∎ Age at most 50 years
∎ Experience Requirements:
∎ A senior figure with a proven track record and substantial experience (minimum 10 years) in risk and compliance roles, preferably with multi-national firms and firms with foreign investors. Prior experience in the Bangladesh and/or international healthcare sector will be added advantage.
∎ Technical Competencies:
∎ Computer literate and fully conversant with all MS Office packages and preferably, e-delivery solutions for board packs and board pack management.
∎ Behavioral Competencies:
∎ Strong commitment to integrity, ethics and good governance and be able to demonstrate leadership and drive in promoting integrity and corporate governance standards,
∎ Strong knowledge of, and ability to provide guidance on, Bangladeshi regulatory requirements and prior exposure to international best practice standards in the private sector on corporate governance,
∎ Detailed knowledge of anti-bribery and corruption legislation, conventions and best practice, including familiarity with the UK Bribery Act and/or the FCPA,

∎ Excellent interpersonal skills, able to build strong relationships and communicate clearly and effectively at different levels (both internally and externally),
∎ Able to handle sensitive and confidential matters with absolute tact and discretion,
∎ Strong attention to detail with proven administrative and organizational skills.
