Educational Requirements:
∎ Master's/ Bachelor's degree in Law, Business Administration, Finance, Accounts from well reputed public/private university or Institution.
∎ Prior experience as Company Secretary, preferably within a corporate environment.
∎ Qualified/Partly Qualified from ICSB is preferable.
∎ Skills Required: Company Secretary

∎ The applicants should have experience in the following area(s):
Company Secretary, Corporate Administration, General Management
∎ The applicants should have experience in the following business area(s):
Airline, Group of Companies, Logistic/Courier/Air Express Companies, Multinational Companies
∎ Freshers are also encouraged to apply.
Job Responsibilities:
∎ Monitor changes in relevant legislation and the regulatory environment and take appropriate action
∎ Assist the Company Secretary as and when required, providing support in all secretarial activities.
∎ Maintain a comprehensive list of compliance issues and provide feedback to the Company Secretary on any potential concerns or areas of improvement.
∎ Manage and maintain all deed of agreements of the company, ensuring their accuracy and accessibility.
∎ Oversee regulatory affairs, such as trade license, fire license, environment license, kolkarkhana/labor license, etc., ensuring timely renewals and adherence to regulations.
∎ Update and maintain various Statutory and Statistical Registers of the Company, ensuring compliance with legal requirements.
∎ Establish and maintain effective communication channels with different regulatory bodies, promptly addressing any queries or concerns.
∎ Prepare and submit the Annual Return to the Registrar of Joint Stock Companies (RJSC), ensuring accuracy and timely compliance.
∎ Prepare and maintain office files and documents, ensuring proper organization and confidentiality.
∎ Assist in arranging and coordinating inspections of the company's factories, ensuring compliance with safety and regulatory standards.
∎ Draft agenda, notices, and meeting minutes for board meetings and other company meetings, ensuring accuracy and completeness.
∎ Attend court proceedings and hearings during different legal issues, providing necessary support and documentation as required.
∎ Coordinate with the Statutory Auditors of the Company, ensuring a smooth audit process and compliance with auditing standards.
∎ Knowledge of the formation of a company with RJSC/ BIDA/ DCC and other regulatory bodies.
∎ Ensure quality in all publications, including reports, announcements, and filings, adhering to company guidelines and regulatory requirements.
∎ Provide administrative support to the Company Secretary and other team members as and when required, assisting with tasks such as scheduling, correspondence, and meeting arrangements.
Additional Requirements:
∎ Age 22 to 30 years
∎ Both males and females are allowed to apply
∎ Strong knowledge of corporate governance, legal and regulatory requirements.
∎ Familiarity with company secretarial practices and procedures.
∎ Excellent written and verbal communication skills.
∎ Strong organizational and time management abilities.
∎ Attention to detail and high level of accuracy in record-keeping.
∎ Proficiency in using Microsoft Office applications
∎ Ability to work independently, handle confidential information, and prioritize tasks effectively.
∎ Willingness to stay updated on changes in relevant laws, regulations, and industry practices.
Salary: Tk. 30000 - 35000 (Monthly)
